我们是一家快速发展的国际物流与供应链企业，现招聘一位资深 Legal Counsel 法务顾问，负责公司在美国及跨境业务中的法律事务管理与风险控制。该岗位将深度参与公司日常经营、合同管理、合规建设、劳动用工及诉讼案件处理，为管理层提供专业法律支持，保障公司稳健合规发展。

岗位职责

• 起草、审核、修改各类商业合同（客户协议、供应商合同、服务协议等）
• 为公司日常运营及重大决策提供法律意见，识别并控制法律风险
• 跟进公司投资、并购、股权结构变更等事项中的法律支持
• 处理劳动法相关事务（雇佣协议、解雇争议、员工政策、纠纷处理等）
• 负责或主导公司诉讼 / 仲裁案件（Litigation & Dispute Resolution），对接外部律师事务所
• 参与制定并完善公司合规制度及内部风控流程
• 参与海外业务拓展及跨境交易中的法律审查与支持
• 为业务团队提供法务培训，提升整体合规意识

任职要求

• 法律相关专业本科及以上学历，JD 或同等学历
• 必须持有美国律师执业资格（Bar），加州 Bar 优先
• 5–10 年企业法务或律所相关工作经验
• 具备诉讼（Litigation）实操经验，有主导或深度参与案件经验者优先
• 熟悉美国/中国公司法、劳动法、合同法等相关法律法规
• 英文读写流利，能独立处理双语法律文件
• 中英文双语能力必须（Bilingual Mandarin & English is a must）
• 具备跨境业务法律支持经验者优先
• 逻辑清晰，抗压能力强，能够独立推动复杂法律项目落地

Job Summary

We are seeking a senior, business-oriented Legal Counsel to join our growing international logistics and supply chain organization. This role will take ownership of corporate legal affairs, commercial contracts, compliance, employment law, and litigation matters. The ideal candidate will have strong hands-on litigation experience, sound legal judgment, and the ability to work closely with leadership and cross-functional teams in a fast-paced environment.

Key Responsibilities

• Draft, review, and negotiate commercial contracts, including customer, vendor, and service agreements
• Advise management on legal risks, regulatory compliance, and corporate governance
• Ensure compliance with federal, state, and international laws and regulations
• Handle employment law matters including contracts, policies, and disputes
• Support M&A, investments, and corporate restructuring transactions
• Lead or manage litigation, disputes, and arbitration matters; coordinate with external counsel
• Manage external counsel for litigation, intellectual property, and regulatory matters
• Conduct legal training and promote legal awareness across departments
• Monitor and interpret new laws and regulations affecting business operations

Qualifications

• Juris Doctor (JD) or equivalent legal degree from an accredited institution
• Must be licensed to practice law in the U.S. (California Bar strongly preferred)
• 5–10 years of experience in a corporate legal department or reputable law firm
• Strong hands-on litigation experience required
• Solid knowledge of corporate, commercial, and employment law
• Excellent written and verbal communication skills in English
• Bilingual proficiency in Mandarin and English is a must
• Experience in logistics, e-commerce, or supply chain industry is a strong plus
• Ability to work independently, manage multiple matters, and prioritize effectively

• Salary Range: $100,000 – $150,000 annually
