Job Title: Company Secretary (CS)Industry: High-Performance Composites Manufacturing (SMC / FRP / GRP) Location: Ahmedabad (Office) Experience: 5&ndash;12 years Qualification: Member of ICSI (Mandatory)Reporting To<ul><li>Managing Director / CFO / Board of Directors</li></ul>Role PurposeThe Company Secretary will be responsible for ensuring statutory, corporate, and secretarial compliance for a composite products manufacturing company engaged in SMC, FRP/GRP, engineered composites, infrastructure, industrial &amp; export projects, while supporting corporate governance, board processes, and regulatory liaison.Key Responsibilities1. Corporate &amp; Statutory Compliance<ul><li>Ensure compliance with Companies Act, 2013, MCA, SEBI (if applicable), FEMA, RBI, and allied laws</li><li>Maintain statutory registers, records, and filings (AOC-4, MGT-7, PAS-3, DIR-12, etc.)</li><li>Handle incorporation, restructuring, mergers, demergers, and amendments</li></ul>2. Board, Committee &amp; Governance<ul><li>Organize and manage Board, Audit Committee, CSR, and other statutory meetings</li><li>Draft agendas, notes, minutes, and resolutions</li><li>Advise Board on corporate governance best practices and regulatory updates</li><li>Ensure implementation of Board decisions</li></ul>3. Manufacturing &amp; Industry-Specific Compliance<ul><li>Support compliance related to:</li><li>Factory Act, Labour Laws</li><li>Environmental &amp; Pollution Control norms (especially for FRP/Resin-based manufacturing)</li><li>Industrial licensing &amp; approvals</li><li>Coordinate with internal teams on EHS documentation and statutory audits</li></ul>4. Legal &amp; Contractual Support<ul><li>Vet and draft:</li><li>Vendor &amp; supplier agreements</li><li>EPC contracts</li><li>Export / import agreements</li><li>NDA, MoU, and technology collaboration documents</li><li>Liaise with external legal counsels</li></ul>5. FEMA, RBI &amp; Export Compliance<ul><li>Handle FDI, ECB, ODI, and FEMA filings (if applicable)</li><li>Support export compliance related to:</li><li>DGFT</li><li>Foreign remittances</li><li>Joint ventures / overseas subsidiaries</li></ul>6. Investor, Lender &amp; Stakeholder Interface<ul><li>Coordinate with banks, financial institutions, auditors, and consultants</li><li>Assist in fundraising, term loans, and project financing documentation</li><li>Support due diligence for investors or strategic partners</li></ul>7. Secretarial Audit &amp; Risk Management<ul><li>Coordinate Secretarial Audit and internal compliance audits</li><li>Identify compliance risks and implement mitigation controls</li><li>Ensure timely closure of audit observations</li></ul>Key Skills &amp; Competencies<ul><li>Strong command over Companies Act, SEBI, FEMA</li><li>Experience in manufacturing / heavy engineering / composites industry preferred</li><li>Ability to handle multi-plant operations and project-based compliance</li><li>Strong drafting, documentation, and stakeholder communication skills</li><li>High integrity, confidentiality, and attention to detail</li></ul>Preferred Industry Exposure<ul><li>FRP / GRP / SMC manufacturing</li><li>Infrastructure components</li><li>Industrial composites</li><li>EPC or export-oriented manufacturing</li></ul>Job Types: Full-time, PermanentPay: ₹50,326.09 - ₹87,606.75 per monthEducation:<ul><li>Master's (Preferred)</li></ul>License/Certification:<ul><li>Company Secretary (Required)</li></ul>Work Location: In person
