1. Statutory &amp; Regulatory Compliance<ul><li>Ensure compliance with the Companies Act, 2013, and other applicable laws.</li><li>Prepare, file, and maintain statutory forms, returns, and documents with ROC, MCA, SEBI, etc.</li><li>Maintain and update statutory registers, minutes books, and company records.</li><li>Ensure timely filing of Annual Returns, Financial Statements, and Board Resolutions.</li></ul>2. Board &amp; Shareholder Meetings<ul><li>Organize and manage Board Meetings, Committee Meetings, and General Meetings (AGM/EGM).</li><li>Prepare and circulate notices, agendas, and minutes of meetings.</li><li>Advise the Board on legal and procedural matters before and during meetings.</li></ul>3. Corporate Governance<ul><li>Implement and monitor effective corporate governance practices.</li><li>Ensure compliance with Board policies, codes of conduct, and corporate disclosures.</li><li>Liaise with directors, auditors, and regulators to ensure transparency and accountability.</li></ul>4. Legal &amp; Secretarial Advisory<ul><li>Draft and vet agreements, resolutions, and legal documents.</li><li>Provide guidance on corporate structuring, mergers, acquisitions, and investments.</li><li>Handle share transfers, issue/allotment of shares, and capital restructuring.</li></ul>5. Liaison &amp; Coordination<ul><li>Act as a link between management, shareholders, regulators, and government authorities.</li><li>Coordinate with ROC, MCA, RBI, SEBI, Stock Exchanges, and other statutory bodies.</li><li>Assist auditors, consultants, and lawyers in statutory or legal matters.</li></ul>6. Record Keeping &amp; Documentation<ul><li>Maintain secretarial records in compliance with statutory norms.</li><li>Preserve and safeguard company documents, licenses, and certificates.</li><li>Support internal and external audits relating to legal and compliance functions.</li></ul>Job Type: Full-timePay: From &#8377;25,000.00 per monthWork Location: In person
