 Our Client is a well-established, mission-driven MedTech Company that is seeking a Corporate Counsel to join its growing and dynamic legal team. The individual will have the ability to work as a generalist and cross-functionally with internal stakeholders on a variety of legal matters including corporate governance, commercial contracts, data privacy, healthcare regulatory law, M&amp;A, and HR practices. The Company is known for its collaborative and tight-knit work culture that offers fully remote flexibility.
 
 
 
 Responsibilities:
 
 
 <ul>
 <li>
 Draft, review, and negotiate a wide variety of commercial agreements (e.g., vendor, supply, distribution, licensing, consulting)
 </li>
 <li>
 Provide legal support to business units including R&amp;D, sales, marketing, and operations.
 </li>
 <li>
 Advise on regulatory compliance including but not limited to Anti-Kickback Statute, Stark Law, False Claims Act, FDA and other applicable healthcare regulations.
 </li>
 <li>
 Assist with due diligence, deal structuring, and integration activities for mergers, acquisitions, and other strategic transactions.
 </li>
 <li>
 Advise on risk mitigation strategies and insurance matters.
 </li>
 <li>
 Support various employment and HR matters as they arise.
 </li>
 </ul>
 
 
 Requirements:
 
 
 <ul>
 <li>
 JD with 5-10 years of legal experience.
 </li>
 <li>
 Knowledge of Healthcare compliance, M&amp;A, and commercial contracts.
 </li>
 <li>
 Medical Device, Healthcare, or Life Sciences Industry experience.
 </li>
 <li>
 Law Firm and In-House experinece.
 </li>
 <li>
 A can-do attitude who can work collaboratively with various levels of employees.
 </li>
 <li>
 Excellent organizational skills, creativity, and ability to work in a fast-paced environment.
 </li>
 <li>
 Prior experience with the life sciences industry preferred.
 </li>

 to their team and support multiple attorneys, mainly helping guide their franchise operations with integrity, compliance, and strategic insight.
 
 
 
 
 
 Position Summary
 
 
 
 The Corporate Counsel will play a key role in supporting the legal needs of our franchise business. This position will focus on franchise agreements, regulatory compliance, and general corporate legal matters. The ideal candidate will have a strong background in franchise law and experience working in a fast-paced, multi-unit environment.
 
 
 
 Key Responsibilities
 
 
 <ul>
 <li>
 Draft, review, and negotiate franchise agreements, amendments, and related documents.
 </li>
 <li>
 Advise on franchise regulatory compliance, including federal and state registration and disclosure requirements.
 </li>
 <li>
 Support franchise development and operations teams with legal guidance.
 </li>
 <li>
 Monitor changes in franchise law and ensure company practices remain compliant.
 </li>
 <li>
 Collaborate with external counsel as needed.
 </li>
 <li>
 Provide legal support for other corporate matters including contracts, employment, and marketing.
 </li>
 <li>
 Provide counseling and assistance across other areas of Data Privacy, Labor and Employment laws, marketing, and general corporate law
 </li>
 </ul>
 
 
 Qualifications
 
 
 <ul>
 <li>
 Juris Doctor (JD) from an accredited law school.
 </li>
 <li>
 Licensed to practice law and in good standing in at least one U.S. jurisdiction.
 </li>
 <li>
 3-5 years of legal experience, with a strong focus on franchise law and compliance.
 </li>
 <li>
 Experience in the restaurant, hospitality, or retail industry preferred.
 </li>
 <li>
 Excellent communication, negotiation, and analytical skills.
 </li>
 <li>
 Ability to work independently and collaboratively in a hybrid work environment.
 </li>
