1. MCA Compliance &amp; Filings<ul><li>Preparation and filing of statutory returns, forms, and documents with the Ministry of Corporate Affairs (MCA) including MGT-7, AOC-4, DIR-12, PAS-3, SH-7, INC forms, etc.</li></ul><ul><li>Ensuring timely annual filings, event-based filings, and compliance with ROC requirements.</li></ul><ul><li>Maintaining updated knowledge of MCA notifications, amendments, and circulars.</li></ul>2. Secretarial Records &amp; Governance<ul><li>Drafting and maintaining statutory registers (Register of Members, Directors, Charges, etc.).</li></ul><ul><li>Preparing board meeting and general meeting notices, agendas, minutes, and resolutions in compliance with Secretarial Standards (SS-1 &amp; SS-2).</li></ul><ul><li>Assisting in convening Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM).</li></ul>3. Corporate Advisory<ul><li>Advising the Board on corporate law matters, MCA compliance, and corporate governance practices.</li></ul><ul><li>Ensuring compliance with Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other allied laws.</li></ul><ul><li>Assisting in issue/allotment of shares, transfer of shares, increase in share capital, and alteration of Memorandum &amp; Articles of Association.</li></ul>4. Liaison &amp; Representation<ul><li>Acting as a point of contact with MCA, Registrar of Companies (ROC), and other regulatory bodies.</li></ul><ul><li>Handling inspection, inquiries, or notices from MCA/ROC and ensuring proper response.</li></ul>5. Other Responsibilities<ul><li>Assisting in drafting of contracts, shareholder agreements, and compliance policies.</li></ul><ul><li>Supporting in due diligence, mergers/amalgamations, and restructuring activities.</li></ul><ul><li>Maintaining strong internal compliance culture and timely reporting to management.</li></ul>&#11835;Qualifications &amp; Skills<ul><li>Qualified Company Secretary (ACS/FCS), registered with the ICSI.</li></ul><ul><li>0-1 years of relevant experience (freshers can also be considered depending on role).</li></ul><ul><li>Strong knowledge of Companies Act, 2013, MCA portal, and secretarial standards.</li></ul><ul><li>Good drafting, communication, and analytical skills.</li></ul><ul><li>Ability to work independently and manage multiple statutory deadlines.</li></ul>&#11835;Key Attributes<ul><li>Integrity and confidentiality in handling sensitive information.</li></ul><ul><li>Detail-oriented with strong follow-up skills.</li></ul><ul><li>Proactive in ensuring compliance and preventing risks.</li></ul><ul><li>Ability to liaise effectively with regulators and senior management.</li></ul>Job Types: Full-time, Permanent, FresherPay: &#8377;20,000.00 - &#8377;30,000.00 per monthBenefits:<ul><li>Paid time off</li></ul>Language:<ul><li>Hindi (Preferred)</li><li>English (Required)</li></ul>Work Location: In person
