1. MCA Compliance & Filings
- Preparation and filing of statutory returns, forms, and documents with the Ministry of Corporate Affairs (MCA) including MGT-7, AOC-4, DIR-12, PAS-3, SH-7, INC forms, etc.
- Ensuring timely annual filings, event-based filings, and compliance with ROC requirements.
- Maintaining updated knowledge of MCA notifications, amendments, and circulars.
2. Secretarial Records & Governance
- Drafting and maintaining statutory registers (Register of Members, Directors, Charges, etc.).
- Preparing board meeting and general meeting notices, agendas, minutes, and resolutions in compliance with Secretarial Standards (SS-1 & SS-2).
- Assisting in convening Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM).
3. Corporate Advisory
- Advising the Board on corporate law matters, MCA compliance, and corporate governance practices.
- Ensuring compliance with Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other allied laws.
- Assisting in issue/allotment of shares, transfer of shares, increase in share capital, and alteration of Memorandum & Articles of Association.
4. Liaison & Representation
- Acting as a point of contact with MCA, Registrar of Companies (ROC), and other regulatory bodies.
- Handling inspection, inquiries, or notices from MCA/ROC and ensuring proper response.
5. Other Responsibilities
- Assisting in drafting of contracts, shareholder agreements, and compliance policies.
- Supporting in due diligence, mergers/amalgamations, and restructuring activities.
- Maintaining strong internal compliance culture and timely reporting to management.

Qualifications & Skills
- Qualified Company Secretary (ACS/FCS), registered with the ICSI.
- 0-1 years of relevant experience (freshers can also be considered depending on role).
- Strong knowledge of Companies Act, 2013, MCA portal, and secretarial standards.
- Good drafting, communication, and analytical skills.
- Ability to work independently and manage multiple statutory deadlines.
