Company Secretary – Listed Building Material Company

Experience: 1‑3 years post‐qualification (Company Secretary)
Qualification: Member of ICSI / Qualified Company Secretary
Key Responsibilities
- Regulatory & Legal Compliance
- Ensure compliance with the Companies Act, SEBI (Listing Obligations and Disclosure Requirements) Regulations, and other applicable securities, corporate, and business laws.
- Maintain up‑to‑date knowledge of changes in legislation and ensure the company adapts accordingly.
- Filing of statutory returns, forms, disclosures with Registrar of Companies (RoC), stock exchanges, SEBI, etc.
- Board & Shareholders’ Meetings
- Assist in scheduling, organising, and conducting Board meetings, Committee meetings, AGMs / EGMs.
- Drafting notices, agendas, minutes, resolutions and follow‑up on action items.
- Ensuring timely communication to the Board, Directors, shareholders as required.
- Maintenance of Statutory Records
- Maintain registers (directors, shareholders, charges etc.), statutory books, common seal, share certificates.
- Custodian of company records, legal documents, plant / office maps as needed.
- Securities Management
- Handling share transfers, transmission, allotments, issue of share certificates, dematerialization / re‑materialization processes.
- Liaising with RTA (Registrar and Transfer Agent) etc.
- Governance & Corporate Affairs
- Advising the Board on corporate governance best practices.
- Ensuring that disclosure obligations under SEBI LODR are met (quarterly financials, related party transactions, etc.).
- Assisting with insider trading regulations, code of conduct, Board/Director disclosures.
- Secretarial Audit / Compliance Audit
- Assisting / managing secretarial audits, ensuring audit observations are addressed.
- Preparing reports, certifications as required under law.
- Liaison & Stakeholder Communication
- Liaison with regulatory authorities (SEBI, RoC, stock exchanges), auditors, legal counsel.
- Coordinate with internal departments (Finance, Legal, HR) for information required for compliance.
- Support Corporate Actions
- Assisting in capital raising, issuance of securities, mergers, acquisitions, change of name/address etc., as required.
- Ensuring necessary approvals and documentation are in place.
Skills & Competencies
- Strong knowledge of Company Law, SEBI LODR Regulations, corporate governance, securities law.
- Good drafting skills (notices, agendas, minutes, resolutions).
- Attention to detail, accuracy, and ability to maintain records.
- Good communication skills (verbal & written), both in English and regional/local as needed.
- Ability to work independently as well as in a team, meet deadlines.
- Familiarity with electronic filings, e‑forms, digital signatures, etc.
