Key Responsibilities:
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable corporate laws.
- Manage all statutory records, registers, and filings with ROC, MCA, and other authorities.
- Draft, review, and file Board Resolutions, Minutes of Meetings (Board & General Meetings).
- Organize and manage Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Maintain up-to-date records of shareholding, securities, and related compliance.
- Liaise with regulatory bodies, auditors, lawyers, and other stakeholders.
- Ensure corporate governance standards and best practices are implemented.
- Provide advisory support to the Board on corporate law and compliance issues.
- Draft and review contracts, agreements, and legal documentation related to the business.
- Handle mergers, acquisitions, joint ventures, and due diligence processes from a compliance perspective.
Qualifications & Experience:
- Qualified Company Secretary (CS) from The Institute of Company Secretaries of India (ICSI).
- Bachelor’s degree in Law/Commerce/Business Administration (preferred).
- years of post-qualification experience in corporate secretarial and compliance roles.
- Strong knowledge of corporate laws, SEBI guidelines, and governance practices.
