The Legal Counsel will assist the General Counsel and Senior Legal Counsel with corporate, commercial and financial services legal advice to NobleOak's business teams. The Legal Counsel will also work closely with internal teams to assess legal risks, draft and review contracts, marketing and disclosure material for legal compliance and provide legal and regulatory advice as required. Job Description Key Accountabilities<ul><li>Marketing and Disclosure Compliance</li><li>Conduct legal reviews of marketing, including digital campaigns, brochures, and website content, to ensure compliance with the Financial Services laws and regulations, including the Corporations Act and ASIC Regulatory Guides.</li><li>Review and advise on disclosure documents such as PDSs, TMDs, and FSGs, to ensure they are legally compliant.</li><li>Commercial Contracts:<ul><li>Contribute to NobleOak's legal strategy through the development and refinement of contract templates and frameworks.</li><li>Lead legal reviews for commercial agreements, including distribution, referral and other services agreements, ensuring alignment with business goals and compliance standards.</li><li>Play a key role in ensuring outsourcing arrangements are compliant with applicable Financial Services law and prudential standards.</li><li>Drafting, reviewing and (where appropriate) assisting in negotiating the terms of commercial agreements, including vendor contracts for our operations, IT, marketing and claims teams.</li><li>Support business transactions by providing legal insights and risk assessments.</li></ul></li><li>Legal Advice<ul><li>Provide specialist legal advice across all areas of the business and coordinating external legal advice as required, with a particular focus on:<ul><li>Financial services obligations (including Corporations Act, Chapter 7)</li><li>Life insurance (including reinsurance, dispute resolution, underwriting and claims)</li><li>Privacy and cyber security (including spam).</li></ul></li></ul></li><li>Regulatory Change<ul><li>Stay informed about legislative changes affecting the life insurance sector.</li><li>Research and interpret new or proposed legislation affecting the business ensure that relevant business units are informed and training is provided as required.</li></ul></li><li>Providing legal advice on incidents and potential breaches.</li><li>Assisting in identifying and mitigating legal risks associated with business operations and providing legal support as required to assist the risk team in developing risk management strategies to safeguard the NobleOak's interests.</li></ul> Desired Skills and Experience Capabilities<ul><li>Proven ability to provide clear and timely commercial legal advice.</li><li>A commercial mindset, with the ability to align legal outcomes with business objectives and risk considerations.</li><li>Proven ability to prepare, revise and negotiate commercial contracts and review marketing material for legal compliance.</li><li>Strong commercial judgment and relationship-building skills.</li><li>Superior written and verbal communications skills with ability to communicate to people in a range of positions.</li><li>High level of curiosity, confidentiality, discretion and judgment.</li><li>Ability to manage and resolve competing priorities and escalations.</li><li>Professional conduct and demeanour.</li></ul>Experience & Qualifications<ul><li>Admitted as a solicitor in one or more States in Australia (or equivalent qualifications from overseas and taking steps to be admitted in Australia).</li><li>3 to 5 years legal experience in corporate and commercial law, ideally with experience in life insurance, general insurance, financial services and marketing.</li></ul>To find out more about NobleOak, click on the logos below:
