A Company Secretary Assistant plays a supportive role in ensuring a company complies with legal, regulatory, and corporate governance requirements. This role involves working closely with the Company Secretary and other senior staff. It combines administrative, legal, and compliance duties.
✅ Key Responsibilities:
- Administrative Support:
- Assist in preparing agendas, notices, and minutes for board meetings, AGMs, and committee meetings.
- Maintain statutory registers and records (e.g., register of members, directors, and charges).
- Help prepare and file statutory returns with regulatory authorities (e.g., ROC, Companies House).
- Compliance & Filing:
- Monitor changes in relevant legislation and ensure compliance.
- Assist in drafting and filing necessary documents (like annual returns, resolutions, forms).
- Ensure timely filing of compliance reports with authorities such as SEBI, MCA, or FCA.
- Document Management:
- Organize and maintain company records and legal documents.
- Help in drafting corporate documents such as board resolutions, shareholder communications, etc.
- Communication:
- Liaise with stakeholders such as directors, auditors, regulatory bodies, and shareholders.
- Coordinate internal and external meetings and ensure follow-up on action points.
- Corporate Governance Support:
- Help implement corporate governance practices and ethics codes.
- Maintain records related to shareholding, transfers, and dividends.
