1. Board and Committee Support

  • Meeting Management: Coordinate the annual calendar for Board and Committee meetings.
  • Documentation: Prepare agendas, collate and distribute board packs via digital portals (e.g., Diligent, BoardEffect).
  • Minute Taking: Attend meetings to record accurate minutes and track follow-up actions to ensure decisions are implemented.

2. Statutory & Regulatory Compliance

  • Filings: Manage and submit statutory filings (Annual Returns, Director appointments/resignations) to regulatory bodies like Companies House or ACRA.
  • Registers: Maintain and update statutory books, including the Register of Members, Directors, and Charges.
  • Legal Updates: Monitor changes in corporate law and governance codes, advising the Board on necessary adjustments.

3. Entity Management

  • Subsidiary Governance: Oversee the compliance health of global subsidiaries, ensuring local filings and corporate secretarial tasks are completed.
  • Structure Charts: Maintain accurate Group structure charts and entity management systems.

4. Shareholder Relations

  • AGM Support: Assist in organizing the Annual General Meeting (AGM), managing proxy voting, and handling shareholder inquiries.
  • Share Administration: Support share transfers, dividend payments, and the issuance of new share certificates.

Job Type: Full-time

Pay: ₹30,000.00 - ₹35,000.00 per month
