OVERVIEW


Cedar Pine, LLC, a private investment firm specializing in strategic, long-term assets located in the northern suburbs of Chicago, is seeking a [Junior Associate] to support the Firm’s private investment activities and general corporate matters. The ideal candidate will have experience in various practice areas, including mergers and acquisitions (with a preference for private market), LP-side fund document negotiation, growth equity transactions, corporate governance, and general corporate matters. This individual will provide first-pass deal support and pragmatic legal judgment across Cedar Pine’s buy-side activities and will be responsible for enhancing and assisting with oversight of the Firm’s compliance program to promote an ethical and compliant culture. Reporting directly to the head of Cedar Pine’s legal function, this position offers an excellent opportunity to grow professionally while contributing to a dynamic, growing, and innovative organization.

Cedar Pine has a hybrid in-office work policy that requires three days per week on-site in Northbrook, Illinois.


RESPONSIBILITIES

  • Conduct in-depth analysis, due diligence, and assessment of potential private investments.
  • Manage the end-to-end deal process, including negotiations and deal structuring including communicating with outside counsel and counterparties and co-investors.
  • Draft, review and negotiate Non-Disclosure Agreements in connection with the Firm's investment activities.
  • Conduct first-round review of investment-related documents, including partnership agreements, limited liability company agreements, offering memoranda, subscription agreements, investor side letters and other legal documents.
  • Draft clear, business-focused redlines; manage document comparisons and version control; and prepare essential board resolutions, consents, joinders, officer certificates, and signature packets.
  • Collaborate with cross-functional teams—including investment, finance, operations, and external advisors—to ensure smooth and effective execution of transactions.
  • Facilitate the investment closing process by coordinating the collection of signatures and necessary deliverables, and ensuring all closing documents are compiled into well-organized, complete files.
  • Create, modify, update, and implement policies, procedures, and guidelines to maintain a current and effective compliance program.
  • Proactively review business activities to identify potential regulatory, compliance, and reputational risks.
  • Maintain accurate and organized records of investment formation documents and other legal documents/materials.
  • Support training and communications to promote a robust culture of compliance.
  • Leverage and manage existing technology solutions to fulfill compliance responsibilities.
  • Assist with general legal issues, including intellectual property, estates and trusts, and human resources/employment.
  • Manage relationships with external legal counsel and advisors to support the firm's objectives.


QUALIFICATIONS

  • 2nd–3rd year M&A associate (2-4 years’ work experience) at a top-ranked law firm, with private equity transactions and transactional exposure.
  • Juris Doctor (J.D.) degree from an accredited law school and active bar membership in Illinois.
  • Exposure to transactions in the healthcare and/or national security industry verticals is desirable.
  • Strong written, oral and presentation skills, including experience simplifying complex technical issues for executives.
  • Strong research, drafting and negotiation skills, with a keen attention to detail.
  • Demonstrated ability to manage multiple projects simultaneously and meet deadlines.
  • Ability to work independently and collaboratively in a fast-paced environment and to critically understand and assess complex issues and conceptualize and articulate solutions.
  • Excellent interpersonal skills with ability to influence and negotiate with stakeholders.
  • Attention to detail and commitment to quality.
  • Proficiency in Microsoft Applications (Word, Excel, PowerPoint, etc.)

Compensation Range:

$155,000 – $175,000 annually, commensurate with experience, qualifications, and internal equity. Final compensation will reflect alignment with the Firm’s compensation structure and budget for the role.
