Job Purpose
: She/he would assist in Secretarial compliance and processes. The role demands a proactive professional with strong knowledge of the Companies Act, FEMA regulations, and other applicable laws, capable of managing secretarial functions efficiently.
Job Responsibilities
:

Drafting of Notices, Agendas and Minutes for Board Meetings, various Committee meetings and General Meetings.

Assisting in convening of the Board, Committee and General Meetings.

Drafting of Article and Memorandum of Association
-
Maintaining Statutory Registers and records
-
Liaising with various government departments, consultants, auditors, shareholders
-
Preparation of documents and director’s disclosure under Companies Act, 2013 and Rules made thereunder and SEBI regulations
-
Responsible for secretarial part of Statutory, Secretarial and Internal Audit of the Companies.

Preparation & ensuring timely filing of forms/returns etc. with Registrar of Companies, RBI, and other Regulators

Drafting of Directors Report, Annual Returns and statutory Notices etc.

Assist in drafting of petitions/applications for NCLT/High Courts/Regulator/Govt. Agencies etc.

Supporting M&A activities including documentation and regulatory filings.

Managing payment of Stamp Duty on share certificate/allotment/merger orders etc.

Executing corporate actions such as allotment of shares/dematerialization of shares
-
Ensuring compliances under the Companies Act, 2013, Secretarial Standard, FEMA Regulations and Rules made thereunder and other corporate laws

Filing Annual Performance Reports (APR), FC-GPR, FCTRS and other FEMA-related compliances for ODI/FDI.

Managing half yearly due diligence.

Following the functional processes laid down in the organization.

Adapting older processes and recommending new processes and good practices for the organization.

Managing all data in relation to function with respect to the entire portfolio of the company.

Handling secretarial work for foreign entities.
Educational Qualifications:

Required
: Membership of the Institute of Company Secretaries of India (ICSI)

Desirable
: Degree in Law (LLB)
Competencies & Soft Skills:

Strong knowledge and hands-on experience in Corporate Laws and Rules made thereunder, FEMA regulations, Secretarial Standards/Practices and related legislation and Regulations.

Excellent written and verbal communication skills.

High level of target orientation and attention to detail.

Strong interpersonal skills and ability to work collaboratively.

Proficiency in MS Office and secretarial software tools.
Eligibility:

Years of experience: Overall 4 to 6 years of post-qualification experience and consistent track record
