We are seeking a Corporate & Company Secretarial professional (LLB) with hands-on experience in regulatory compliance and statutory filings within an audit/consultancy firm environment.

This role is strictly for candidates experienced in corporate, regulatory, and secretarial practice — not litigation, civil, or criminal law.

Key Responsibilities

  • Incorporation of companies (Private, Public, SMC, Section 42, Foreign Companies) through Securities and Exchange Commission of Pakistan (SECP eZfile portal)
  • End-to-end management of statutory compliance under the Companies Act, 2017
  • Filing of Forms (A, 29, AOC-4 equivalent filings, share transfer, increase in capital, change of directors, etc.)
  • Drafting of:
  • Memorandum & Articles of Association
  • Shareholders’ Agreements
  • Trust Deeds
  • Board Resolutions & Special Resolutions
  • Minutes of Board & General Meetings
  • Compliance advisory relating to:
  • SECP regulations
  • Corporate governance requirements
  • Beneficial ownership reporting
  • Ultimate Beneficial Owner (UBO) filings
  • Liaison with regulatory authorities including:
  • Securities and Exchange Commission of Pakistan
  • Federal Board of Revenue
  • State Bank of Pakistan (Foreign Exchange Manual compliance)
  • Handling post-incorporation compliance, annual returns, and statutory registers
  • Advisory on share restructuring, allotment, transfer & corporate restructuring matters
  • Ensuring timely billing, recoveries, and client coordination

Ideal Candidate Profile

  • LLB (mandatory)
  • 2–4 years’ experience in Corporate Advisory / Company Secretarial role
  • Prior experience in an audit firm or corporate consultancy firm preferred
  • Strong command over Companies Act, 2017 & SECP regulations
  • Hands-on experience with SECP e-filing portal
  • Sound knowledge of regulatory compliance, not litigation practice
  • Proficient in drafting corporate legal documentation
  • Strong MS Excel & documentation skills
