As an Assistant Manager in Risk and Compliance, specializing in Mergers and Acquisitions, you will play a key role in identifying, evaluating, and managing potential risks throughout the M&A lifecycle. You will work closely with senior management, legal teams, and external advisors to ensure compliance with regulatory requirements and best practices, helping to protect the company’s interests in every deal.
Key Responsibilities:
- Risk Assessment & Mitigation: Lead the risk assessment process for M&A transactions, ensuring that key risks are identified, analyzed, and mitigated.
- Compliance Oversight: Ensure compliance with local and international regulations, including financial, legal, and operational frameworks, throughout the M&A process.
- Due Diligence: Support the due diligence process, reviewing and assessing potential risks related to financial statements, contracts, liabilities, and regulatory matters.
- Transaction Support: Collaborate with legal, finance, and operations teams to provide risk and compliance advice during the transaction structuring, negotiation, and integration phases.
- Policy and Procedure Development: Assist in the development, implementation, and enforcement of risk and compliance policies related to M&A activities.
- Reporting: Prepare detailed reports on risk management findings, compliance status, and action plans for senior management and the board.
- Training & Awareness: Provide training and guidance to internal stakeholders on risk management and compliance practices within M&A.
Qualifications:
- Education: Bachelor's degree in Finance, Business Administration/CA/ACCA
- Experience: Minimum of 3-5 years of experience in risk management, compliance, or related fields, with a strong focus on Mergers & Acquisitions.
- Knowledge: In-depth understanding of M&A processes, financial regulations, and risk management strategies. Familiarity with relevant laws .
- Skills:
- Strong analytical, problem-solving, and organizational skills.
- Excellent communication skills, both verbal and written.
- Ability to manage multiple priorities and work under pressure.
- Proficient in Microsoft Office Suite (Excel, PowerPoint, Word). Knowledge of risk management software is a plus.
