Associate Company Secretary

JOB DESCRIPTION

Job Title/Designation: Assistant Company Secretary

Location: Ahmedabad

Qualification: A Member of the Institute of Company Secretaries of India

Required Experience:

At least 4 - 6 years of post-qualification experience in Listed Companies.

Key Knowledge Areas:

Knowledge of corporate laws, including the Companies Act, 2013, SEBI Regulations, RBI Regulations, FEMA and other laws as applicable to the company. etc.

Role Overview:

Assist in managing all secretarial functions for the listed company, its private subsidiaries, group companies, and LLPs. Key responsibilities include:

· Preparing of notices, agenda and minutes for the Board, Committee meetings, Shareholder meetings.

· Maintaining statutory registers, records, documents, and returns as required under applicable laws.

· Drafting Annual Report including Board Report, Corporate Governance Report, Business Responsibility report, Annual report on Corporate Social Responsibility activities and such other reports as applicable under Companies Act, 2013 and top 1000 companies under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

· Ensuring timely compliance with all applicable provisions of the Companies Act, 2013; SEBI (LODR) Regulations, 2015; other SEBI listing requirements; and RBI regulations, including filing requisite forms and returns on the MCA V3 portal and stock exchanges filling (BSE and NSE) within due timelines.

· Liaising with external regulators, stakeholders, internal/external auditors, lawyers and advisors.

· Handling all secretarial audits and related activities.
