Job Description – Company Secretary

Roles & Responsibilities:

  • Handle end-to-end compliance under the Companies Act, 2013 and other applicable laws.
  • Advise the Board on corporate governance, legal obligations, and statutory requirements.
  • Manage secretarial functions including Board, Committee, and General Meetings.
  • Maintain statutory registers, records, and corporate documents.
  • Draft agendas, notices, resolutions, and minutes of meetings.
  • Prepare and file statutory returns and forms with MCA and other authorities.
  • Manage secretarial and compliance audits.
  • Handle end-to-end IPO activities including pre-IPO restructuring, due diligence, DRHP/RHP filing, coordination with advisors, listing and post-listing compliances.
  • Ensure compliance with SEBI regulations, LODR requirements, and post-listing disclosures.
  • Keep track of regulatory changes related to Companies Act, SEBI, GST, FEMA, and Income Tax.

Qualifications & Experience:

  • Member of ICSI.
  • Minimum 10 years of relevant experience.
  • Strong knowledge of Companies Act, 2013, SEBI regulations, and IPO processes.
  • Proficient in MS Office.

Job Type: Full-time

Pay: ₹1,000,000.00 - ₹1,200,000.00 per year
