We’re seeking a future team member for the role of Associate, Counsel III to join our Legal team. This role is located in Pune, Maharashtra.

In this role, you’ll make an impact in the following ways:

  • The primary responsibility of the role is to work under the supervision of the vendor management lawyer, providing day-to-day support in relation to the onboarding of new vendors. The role will also involve supporting other members of the legal team with ad hoc and project work as well as assisting with administrative tasks.
  • Vendor management legal support:
    • Reviewing vendor contracts against a contract review checklist to extract required information
    • Reviewing vendor policies and other relevant documentation (such as website terms) in support of the completion of the vendor contract review checklist
    • Inputting vendor contract information into the online vendor management system
    • Liaising on and filing relevant vendor documentation and maintaining legal department vendor records
  • Other legal support:
  • Reviewing standard agreements (such as non-disclosure agreements) using a checklist to ensure key terms are present
  • Reviewing other key legal documentation (such as investment management agreements and prospectuses) using a checklist to extract relevant information
  • Carrying out due diligence tasks on projects (for example conducting document reviews and collating specified information)
  • Legal team administrative tasks:
    • Monitoring the central inbox for work requests and allocating such requests to lawyers using an established rota system
    • Maintaining the work allocation spreadsheet, ensuring it is kept up to date with all work requests from the central inbox
    • Reconciling legal department records with the centralised record-keeping system to monitor the receipt and payment of legal team invoices
    • Managing ad hoc administrative tasks across all legal teams as required
  • With close guidance from more experienced attorneys, conducts legal analysis and documentation for a particular business or functional area on broad, foundational corporate legal issues.
  • Supports a broad array of internal teams, often rotating through different practice areas or business lines to identify a course for continued professional development. In some jurisdictions, incumbent may be prohibited from giving direct advice to clients or representing themselves as a fully qualified attorney.
  • Supports senior legal staff in the execution of research, analysis and documentation of legal matters and corporate transactions.
  • Involved in basic matter work, supporting internal counsel through legal research and document review. Seeks guidance from senior colleagues to ensure an understanding of their assignments within the context of the larger issues at hand and the strategies of the internal entity.
  • Coordinate and collaborate with various business areas to gather information related to legal matters or due diligence activities. Synthesizes information and presents summary to senior attorneys.
  • Studies and gains a preliminary understanding of the assigned entity's products and services. Completes rotations in different lines of business to gain a broader understanding of the various of businesses/functions (e.g., litigation, employment law, contract law, etc.) of BNY.
  • Provides training and advice to less experienced colleagues on basic internal procedures and work methods.
  • Job scope is limited to personal contribution towards team goals. Based on local country regulations, incumbents at this level may not be considered fully qualified to give direct advice to clients and the scope of the role is limited to supporting qualified or licensed attorneys, solicitors, etc. Modified based upon local regulations/requirements.

To be successful in this role, we’re seeking the following:

  • Advanced Legal Degree required.
  • 5 minimum years of total work experience preferred, local country market practices may require additional years of relevant experience in a law firm or corporate legal department.
