Job Purpose:

To provide contractual and legal advice on all phases of the large scale giga-development.

Preparation and review of all types of claims, construction claims, commercial and construction contracts, coordinating corporate projects (including public-private partnership (PPP) arrangements), finance, construction, engineering, management agreements and managing Red Sea Global’s interests in multiple specialist projects.

The provision of strategic and legal advice in relation to all construction related and other claims, special projects, drafting and negotiating various types of contracts with developers, contractors and any other 3rd parties and providing on-going day-to-day legal support during the execution of each of these corporate projects.

Reviewing and advising on legal/business risk to ensure consistency and compliance during the development of the Project.
Job Responsibilities:

Develop & negotiate settlements and other agreements with permanent and defined-term business relationships, including joint-ventures, partnerships, alliances, and consortiums.

Draft, review, and advise on various forms of settlement agreements, arbitration agreements, advice notes, legal briefs, memorandums of understanding, joint-venture agreements, service agreements, non-disclosure agreements, sale and purchase agreements, consultancy agreements, licensing agreements, novation agreements, call off agreements, cooperation agreements, facilities management agreements, supply agreements, guarantees, amendment agreements, assignment agreements and other types of commercial agreements.

Provide support to all divisions of the legal, PPP, claims team, senior management and commercial/procurement departments during all phases of projects and claims.

Provide day-to-day legal advice and support on commercial and legal risk in order to identify, contain and manage exposure and risk to RSG.

Liaising and collaborating effectively with various internal departments and providing day-to-day guidance and interpretation on legal, compliance, commercial and business risks whilst maintaining a proactive and pragmatic approach.

Developing and delivering training for employees on contract administration and claims management.

Instructing and managing external counsel engaged on contentious and non-contentious matters.

Follow all relevant functional policies, processes, standard operating procedures, and instructions to ensure that work is carried out in a controlled and consistent manner.

Assist in the preparation of accurate and timely functional MIS statements and reports to meet corporate and functional requirements, policies, and standards.

Apply safety, quality and environmental management policies, procedures, and controls to ensure employee safety, legislative compliance, delivery of high-quality products/service and a responsible environmental attitude.

Contribute to the identification of opportunities for continuous improvement of department’s systems, processes and practices considering ‘international best practice’, improvement of business processes, cost reduction and productivity improvement.
Job Requirements:
Qualification and Experience
-
Academic and professional legal qualifications: (Bachelors & master’s degrees in law required and admission as a lawyer/attorney/solicitor/barrister in home country).

Background in litigation, particularly construction claims, arbitrations, corporate projects and related matters and in all forms of commercial contracts and ancillary agreements related to major construction projects, having advised upon, negotiated, drafted and reviewed claims documentation, settlement agreements, arbitration agreements, and be conversant with relevant Sharia law principles, KSA regulations and policies.

Must have between 4-6 years post-qualification experience, with a focus on contentious construction, working for a well-regarded private practice law firm in the GCC.

Must have experience advising on litigation, arbitrations and other contentious construction claims within large scale development and construction projects.

Must be admitted or eligible to practice law in a Commonwealth jurisdiction.
