ASSOCIATE GENERAL COUNSEL

Reporting to the General Counsel, the Associate General Counsel will work with all areas of the business enterprise to support the varied legal needs of the long-term care organization. In this role, the Associate General Counsel will be largely responsible for contract review and negotiation as well as providing regulatory guidance to stakeholders. Additional opportunities for growth and professional development may include helping with litigation defense, legal advice related to healthcare compliance programs, and risk management practices. To be successful, the Associate General Counsel will work with the General Counsel to anticipate legal and business issues, identify proactive solutions, and manage/mitigate risks strategically.

Essential Functions

Primary responsibility for reviewing, editing and negotiating contracts for all levels of enterprise assets, including commercial, SaaS, and healthcare services agreements, as well as helping to improve the company’s internal contracts process to promote a balance of efficiency and risk mitigation.

Advise on legal matters pertaining to compliance, privacy and security for healthcare providers.

Assist the General Counsel in maintaining corporate governance protocols across the enterprise.

Provide legal advice to stakeholders on a wide array of topics and questions related to the long-term care industry, including on matters pertaining to employment, healthcare regulatory compliance, contracts, and litigation.

Support the General Counsel in managing litigation and administrative proceedings that impact the company and its managed assets.

Develop and provide training to internal stakeholders at all levels of the enterprise on legal issues, compliance, and risk mitigation.

Analyze and research complex issues and distill advice down to succinct and actionable recommendations.

Drive the improvement of legal department processes to increase efficiency and mitigate legal risks.

Conduct legal research and analysis to stay current on existing law and changes that may impact the company or its affiliates.

Any other responsibilities as assigned by General Counsel.

Exceptional negotiation skills with experience in managing complex deals and agreements.

Self-motivated, accountable, detail-oriented, and highly organized with an ability to handle multiple competing priorities correctly and completely within short deadlines.

Strong desire to “own” projects through completion and the ability to drive results in conjunction with business stakeholders.

Licensed to practice law in Texas or able to become licensed in Texas within 6 months of hire.

At least 5-7 years of experience as an attorney, preferably with time spent in-house with a company.

Must reside in Texas. No relocation assistance will be offered.

Experience advising healthcare clients, and specifically skilled nursing facilities, a plus.

Knowledge of state and federal laws governing healthcare entities and providers in Texas.

Experience with CLM software (Conga preferred), as well as ClickUp, is a plus, but not required. Expertise with Microsoft Office Suite and Adobe Products is required
