What you get to do:
We are seeking a skilled and motivated Commercial Transactions Attorney to join our Corporate Legal team. The ideal candidate will have strong experience drafting, reviewing, and negotiating a wide range of commercial agreements, advising clients on business and legal risks, and supporting corporate initiatives across multiple company properties. This position will report directly to the Deputy General Counsel & Senior VP of Legal Operations.

Review, draft and negotiate a variety of commercial agreements for the business units at all of the company’s properties including, but not limited to, licensing and technology agreements; non-disclosure and confidentiality agreements; vendor, supplier, customer and partnership agreements; supply, and distribution and service agreements.

Provide high quality and timely legal advice and counsel to business units on a variety of corporate, real estate, regulatory, consumer protection, compliance, risk mitigation, privacy and other issues related to the business.

Review and develop contractual frameworks, policies and processes that align with corporate procedures and all applicable regulatory requirements related to the business.

Provide general corporate advice including supporting the Corporate Secretary and supervising the maintenance and update of corporate registrations for the various companies under the parent company.

Coordinate with outside counsel and advise on compliance and other legal issues related to the company’s intellectual property.

Work closely with company management and other employees to identify and assess legal risks and advise of risk reduction strategies company-wide and to provide support, advice, and counsel on a wide range of legal issues and concerns.
What it takes to succeed:
- Juris Doctorate from an accredited law school and membership in good standing with at least one state bar is required.

At least 8 years’ experience working at a law firm and/or in-house in the areas of commercial transactional work is required.

Experience drafting and negotiating a variety of commercial agreements, including licensing agreements, marketing/advertising agreements, among many other types of agreements.

Must be familiar with and have a strong knowledge of state and federal laws in multiple states, including California and Florida.

Must have highly polished and effective negotiation, communication and drafting skills, including those suitable for interaction with senior managers and executives.

Must have the ability to handle significant matters with limited supervision or direction.
