Associate Vice President-Legal

We are seeking an experienced Corporate Lawyer to join our team, with a strong background in handling corporate, transaction, M&A, and debt matters with a strong emphasis on legal and regulatory compliance. The ideal candidate will possess extensive knowledge on understanding of Indian laws and regulations, particularly in real estate transactions, corporate law, insolvency and bankruptcy code (IBC), foreign exchange management act (FEMA), and banking laws.

KEY RESULT AREAS:

1. Draft and review, corporate documents, transaction documents, management notes, and case studies

2. Provide legal and regulatory, advice on corporate, transaction, M&A, and debt matters

3. Handle real estate transactions, including due diligence, documentation, and regulatory compliance

4. Manage all legal aspects of transactions, including due diligence, documentation, and regulatory compliance.

5. Navigate complex real estate laws, to ensure seamless execution of property-related deals.

6. Handle debt documentation, including loan agreements, security documents, and other financing arrangements

7. Independently handle court, and NCLT matters, including litigation and dispute resolution

TASKS:

1. Draft and negotiate a wide range of legal documents, including Memoranda of Understanding (MOUs), heads of terms/term sheets, transaction documents, and other required paperwork for initiating and closing deals.

2. Conduct due diligence for all the transactions, identifying potential risks and legal implications.

3. Provide strategic legal help, on complex corporate, M&A, and debt transactions.

4. Review and prepare commercial contracts and related legal documentation.

5. Support the management team during negotiation meetings, providing legal expertise and strategic advice as needed.

6. Stay updated on legal developments in relevant areas and apply this knowledge to the organization’s benefit. Ensure all legal aspects of transactions comply with relevant regulations and internal policies.

CANDIDATE PROFILE SPECIFICATIONS:

EDUCATION: LLB/LLM degree with a CS qualification

EXPERIENCE: 4-5 years of experience in corporate law, with a focus on corporate transactions, M&A, and debt matters.

Job Type: Full-time

Pay: ₹1,500,000.00 - ₹1,800,000.00 per year
