Delta Autocop Limited is a listed company in the Indian stock market, committed to excellence, innovation, and ethical business practices. We are looking for a qualified and dynamic Company Secretary to handle all statutory, regulatory, and compliance-related responsibilities of the company.
Key Responsibilities:
- Ensure compliance with all provisions of the Companies Act, SEBI regulations, Listing Obligations (LODR), and other applicable laws for a listed company.
- Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including preparing agendas, notices, and minutes.
- Maintain statutory records, registers, and filings with MCA, SEBI, Stock Exchanges, and other regulatory authorities.
- Draft and vet corporate documents, agreements, resolutions, and disclosures.
- Liaise with regulators such as ROC, SEBI, Stock Exchanges, Depositories, and other government bodies.
- Oversee corporate governance practices and ensure timely disclosures to stakeholders.
- Support the Board of Directors in compliance, decision-making, and legal guidance.
- Handle insider trading compliance, monitoring of shareholding patterns, and investor relations compliance.
- Prepare and file quarterly, half-yearly, and annual compliance reports.
Requirements:
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- 2–5 years of post-qualification experience (preferably in a listed company).
- Strong knowledge of corporate laws, SEBI regulations, and listing compliance.
- Excellent drafting, communication, and presentation skills.
- Ability to work independently and manage multiple compliances with accuracy.
