Job Description: Company Secretary

Location: New Delhi (On-site) Experience: 3-4 years

About the Role

We are seeking an experienced Company Secretary to join our team. The ideal candidate
will have 3-4 years of professional experience in corporate governance, compliance, and
legal drafting. This role requires a strong understanding of corporate law and the ability to
manage all secretarial functions efficiently.

Key Responsibilities

  • Corporate Compliance: Ensure the company & full compliance with all statutory and regulatory requirements, including those under the Companies Act and other

applicable laws.

  • Board and Shareholder Meetings: Prepare and circulate board agendas, minutes

of meetings, and other documents for Board and shareholder meetings.

  • Documentation & Drafting: Draft a wide range of legal and corporate documents,

including resolutions, agreements, policies, and statutory forms.

  • Record Keeping: Maintain and update all statutory registers and records accurately.
  • Regulatory Filings: Handle all necessary filings and communication with regulatory

bodies like the Registrar of Companies (ROC).

  • Advisory Role: Provide expert advice to the Board of Directors on corporate

governance, legal matters, and compliance.

Required Skills & Qualifications :

  • Experience: 3-4 years of experience as a Company Secretary.
  • Drafting Skills: Proven ability to draft comprehensive and legally sound documents.
  • Knowledge: In-depth knowledge of the Companies Act, corporate law, and corporate

governance principles.

  • Communication: Excellent verbal and written communication skills.
  • Problem-Solving: Strong analytical and problem-solving abilities.
  • Attention to Detail: Meticulous attention to detail and a high level of accuracy.

Job Type: Full-time

Pay: ₹30,000.00 - ₹40,000.00 per month
