Job Role : Company Secretary
Job Description
A Company Secretary is a key legal and compliance officer within an organization. This role requires a deep understanding of corporate law, governance, and regulatory compliance.
Key Responsibilities:
Corporate Governance:
- Overseeing and ensuring adherence to corporate governance principles and best practices.
- Advising the board of directors on matters of corporate governance, including board procedures, director remuneration, and related party transactions.
Legal and Regulatory Compliance:
- Ensuring compliance with all applicable laws, regulations, and statutory requirements, including Companies Act, SEBI regulations, and other relevant legislations.
- Monitoring regulatory changes and implementing necessary changes to corporate practices.
- Advising on legal and regulatory matters affecting the company's operations.
Secretarial Functions:
- Organizing and conducting board meetings, general meetings, and committee meetings.
- Maintaining statutory records and registers.
- Preparing and filing statutory returns and forms.
- Handling correspondence with regulatory authorities.
Mergers and Acquisitions:
- Providing legal and secretarial support for mergers, acquisitions, and divestitures.
- Drafting and reviewing relevant legal documents.
Risk Management:
- Identifying and mitigating legal and compliance risks.
- Developing and implementing risk management policies and procedures.
Qualifications:
- Professional Qualification:
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
