Key Responsibilities:
- Ensure compliance with corporate laws, regulations, and statutory requirements.
- Organize and manage board meetings, annual general meetings (AGMs), and committee meetings, including preparing agendas, minutes, and resolutions.
- Maintain statutory registers and records, including shareholding, directors, and other corporate filings.
- File necessary documents with regulatory authorities such as the Registrar of Companies (RoC), SEBI, and stock exchanges.
- Advise the board on corporate governance best practices and legal obligations.
- Liaise with external regulators, auditors, legal advisors, and stakeholders.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
- Assist in drafting and reviewing legal documents, contracts, and policies.
- Support mergers, acquisitions, and other corporate restructuring activities.
- Ensure timely and accurate disclosure of financial and non-financial information.
Qualifications:
- Qualified Company Secretary (Member of ICSI).
- In-depth knowledge of corporate laws, SEBI regulations, and governance practices.
- Strong organizational, communication, and interpersonal skills.
- High level of integrity and professionalism.
Preferred Skills:
- Familiarity with secretarial software and digital compliance tools.
- Ability to manage confidential information with discretion.
- Strong analytical and problem-solving abilities.
