Job Summary:
The Company Secretary (CS) will be responsible for ensuring the organization’s
compliance with statutory and regulatory requirements, maintaining corporate
governance standards, and managing all secretarial and legal matters of the company.
The role involves close coordination with the Board of Directors, legal advisors,
auditors, and government authorities.
Key Responsibilities:
Ensure compliance with Companies Act, 2013, SEBI regulations, FEMA, and other applicable laws.
Prepare and maintain statutory registers, minutes of meetings, and related documentation.
Draft and manage Board and Committee meeting notices, agendas, and resolutions.
File annual returns, forms, and other statutory documents with ROC, MCA and related bodies.
Advise the Board on corporate governance, legal, and regulatory matters.
Manage shareholder communication, share transfers, and capital restructuring activities.
Liaise with external regulators, auditors, legal counsel, and consultants.
Support in drafting and vetting contracts, NDAs, MoUs, and agreements.
Assist management in mergers, acquisitions, joint ventures, and fundraising
documentation.
Ensure timely compliance with tax filings, ROC filings, and secretarial audits.
Requirements:
Qualified Company Secretary (Member of ICSI).
5–12 years of relevant experience in corporate secretarial and legal compliance.
Strong knowledge of Companies Act, FEMA, SEBI, and corporate governance practices.
Experience in ROC filings, Board documentation, and stakeholder management.
Excellent communication, drafting, and organizational skills.
Proficiency in MS Office and MCA portal operations.
Preferred Attributes:
Experience in Media / Entertainment / Startup / Production environments.
Exposure to legal documentation, due diligence, and corporate restructuring.
Strong attention to detail and ability to handle confidential information responsibly.
Job Type: Full-time
Pay: Up to ₹1,500,000.00 per year
