Role Overview:We are looking for a detail-oriented Company Secretary (CS) with 3-5 years of experience or equivalent exposure. The candidate will assist in corporate compliance, statutory filings, secretarial work, and liaising with regulatory authorities. This role provides hands-on experience across Companies Act compliance, corporate governance, and secretarial operations.
Key Responsibilities:
· Ensure compliance with the provisions of the Companies Act, rules, regulations, and other applicable statutes.
· Prepare and file online applications for FSSAI License, PAN & TAN, Import Export Code, Shop Establishment License, MSME Registration, Professional Tax Registration, and Start-up Registration.
· Liaison with government departments and regulatory authorities to obtain necessary approvals and maintain compliance obligations.
· File all e-forms, Annual Filing for Companies & LLPs, and Annual Reports.
· Draft and prepare board resolutions, minutes, explanatory statements, notices, agendas, and supplementary papers for board meetings.
· Manage corporate actions such as increasing authorised/paid-up share capital, amendments to Memorandum & Articles of Association, Right Issue, Private Placement, and Bonus Issue.
· Facilitate appointment and resignation of Directors, Key Managerial Personnel (KMP), and Auditors.
· Handle registration, modification, and satisfaction of charges with the Registrar of Companies.
· Assist in the incorporation of all types of companies, including Private, Public, One Person Company, Section-8, Producer, Government Companies, and LLP.
· Organise and ensure compliance for Board Meetings and General Meetings; file statutory returns with the Registrar of Companies.
· Handle share transfers and the issuance of share certificates.
· Draft CSR Policies under Section 135 of the Companies Act, 2013, and ensure CSR compliance.
· Register Partnerships (ROF) and Trusts with the Charity Commissioner; file annual returns of Trusts.
· Assist with FCRA Registration for NGOs.
· Prepare and file petitions for the revival of companies.
Required Experience, Skills & Qualifications:
· Educational Qualification: CA (Qualified) / CS (Intern).
· Excellent organisational and administrative skills with high attention to detail.
· Strong knowledge of corporate laws, accounting principles, practices, standards, and regulatory compliance.
· Proficient in MS Office, accounting software, and databases.
· Ability to analyse and handle large volumes of data efficiently.
· Strong communication and interpersonal skills to liaise with regulatory authorities and clients.
Job Types: Full-time, Permanent
Pay: ₹30,000.00 - ₹100,000.00 per month
