Core responsibilities
- Corporate governance and compliance: Ensuring the company follows all legal, statutory, and regulatory requirements, including company law and stock exchange rules.
- Meeting management: Organizing and managing board meetings and annual general meetings by preparing agendas, taking minutes, and circulating decisions.
- Record-keeping: Maintaining statutory registers, official records, and legal documents.
- Advisory role: Providing advice to the board and senior management on matters of corporate governance, law, finance, and strategy.
- Stakeholder communication: Acting as a bridge between the company and its stakeholders, including shareholders and regulators, by managing communication and correspondence.
- Regulatory liaison: Communicating with external bodies like regulators (e.g., SEBI, Reserve Bank of India) and filing necessary returns and forms.
- Contract management: Drafting, reviewing, and managing various legal and contractual agreements.
