The Company Secretary is a senior governance professional responsible for ensuring that the organization complies with statutory and regulatory requirements. This role supports the Board of Directors, manages corporate records, and oversees governance processes to ensure transparency, efficiency, and accountability across the organization.
Corporate Governance & Compliance
- Ensure the company complies with all statutory and regulatory obligations.
- Maintain up-to-date knowledge of corporate laws, regulations, and governance best practices.
- Prepare and file required statutory documents, annual returns, and reports with regulatory authorities.
- Draft and update company policies, procedures, and governance manuals.
2. Board & Committee Support
- Organize, prepare, and facilitate board and committee meetings.
- Draft agendas, compile board papers, and distribute relevant documents to directors.
- Record and maintain accurate minutes of meetings.
- Monitor and follow up on implementation of board decisions.
3. Legal & Regulatory Duties
- Maintain statutory registers such as register of members, directors, and share transfers.
- Handle legal documentation including contracts, MOUs, resolutions, and filings.
- Liaise with regulatory bodies, auditors, lawyers, and government authorities.
4. Corporate Administration
- Manage corporate records and maintain secure document archives.
- Support the execution of corporate restructures, mergers, or acquisitions.
- Coordinate annual general meetings (AGMs) and extraordinary general meetings (EGMs).
- Oversee company insurance policies, risk management processes, and internal controls.
5. Stakeholder Management
- Serve as the key point of communication between the board, management, shareholders, and regulators.
- Support investor relations activities and respond to shareholder queries.
- Ensure transparent and timely communication across all stakeholders.
