We are seeking a qualified Company Secretary (CS) to join our dynamic team. As a CS, you will play a key role in managing corporate secretarial functions, maintaining statutory compliance under the Companies Act, and ensuring robust governance practices across the organization.
Key Responsibilities:
- Handle all Registrar of Companies (ROC) filings and statutory compliance, including annual filings such as AOC-4, MGT-7/7A, DPT-3, and other relevant forms.
- Maintain statutory records and company registers (minutes book, registers of directors/shareholders, etc.) in accordance with the Companies Act and Secretarial Standards.
- Coordinate board and committee meetings: prepare agendas, notices, resolutions, and draft minutes; ensure accurate documentation and compliance with Secretarial Standards.
- Monitor statutory and regulatory compliance on a day-to-day basis and implement necessary process improvements to reduce non-compliance risks.
- Support internal and external compliance audits and regulatory inspections.
Skills & Competencies:
- Excellent knowledge of the Companies Act, 2013, secretarial practices, and corporate compliance requirements. ICSI
- Strong organizational, analytical, and communication skills. ICSI
- Ability to work independently and manage multiple compliance tasks with accuracy. ICSI
- Familiarity with MCA portal and ROC e-filing processes is a plus
Experiance:
1 year of experiance in above areas or fresher who has worked in all the areas during training.
