Job Title: Company Secretary (CS)
Experience: 3+ years post-qualification Employment Type: Full-time
We are looking for an experienced Company Secretary to independently manage end-to-end corporate secretarial and statutory compliances. The role requires close interaction with promoters and senior management and the ability to set up governance and compliance frameworks in a growing organization.
- Manage the entire spectrum of corporate secretarial functions in compliance with the Companies
Act, 2013 and other applicable laws
- Handle company incorporation, restructuring, and post-incorporation compliances, including drafting and filing of statutory forms with ROC and MCA
- Ensure timely filing of annual, event-based, and regulatory returns and monitor compliance deadlines
- Maintain and update statutory registers, records, and secretarial documentation in physical and electronic form
- Plan, convene, and manage Board Meetings, Committee Meetings, and General Meetings,including preparation of agendas, notices, minutes, and resolutions
- Advise promoters and senior management on corporate governance, compliance requirements,and regulatory best practices
- Coordinate with auditors, legal counsels, company law consultants, and regulatory authorities for compliance-related matters
- Support share capital management activities including allotment, transfer, transmission, and related statutory filings
- Assist in implementation and monitoring of corporate policies, governance frameworks, and compliance risk management processes
- Track regulatory changes and ensure timely implementation of amendments applicable to the company
- Provide secretarial support for strategic initiatives such as investments, funding, restructuring, and corporate actions
- Ensure accuracy, completeness, and timely maintenance of all statutory and corporate records
- Qualified Company Secretary (ACS mandatory)
- Minimum 3 years of post-qualification experience
- Strong hands-on experience in ROC and MCA compliances
- Experience in startups/NBFCs, or fast-growing organizations preferred
- Sound knowledge of Companies Act, 2013 and corporate governance practices
- Ability to work independently with minimal supervision
- Strong drafting, documentation, and analytical skills
- High level of integrity, attention to detail, and accountability
- Effective communication and stakeholder management skills
- Ability to manage multiple priorities in a dynamic environment
