<h1 class="jobSectionHeader"><b>Job Summary</b></h1>
<p>We are looking for an experienced Company Secretary to independently manage end-to-end corporate secretarial and statutory compliances. The role requires close interaction with promoters and senior management and the ability to set up governance and compliance frameworks in a growing organization.</p>
<h1 class="jobSectionHeader"><b>Key Responsibilities</b></h1>
<ul><li> Manage the entire spectrum of corporate secretarial functions in compliance with the Companies</li></ul>
<p>Act, 2013 and other applicable laws</p>
<ul><li> Handle company incorporation, restructuring, and post-incorporation compliances, including drafting and filing of statutory forms with ROC and MCA</li></ul>
<ul><li> Ensure timely filing of annual, event-based, and regulatory returns and monitor compliance deadlines</li></ul>
<ul><li> Maintain and update statutory registers, records, and secretarial documentation in physical and electronic form</li></ul>
<ul><li> Plan, convene, and manage Board Meetings, Committee Meetings, and General Meetings,including preparation of agendas, notices, minutes, and resolutions</li></ul>
<ul><li> Advise promoters and senior management on corporate governance, compliance requirements,and regulatory best practices</li></ul>
<ul><li> Coordinate with auditors, legal counsels, company law consultants, and regulatory authorities for compliance-related matters</li></ul>
<ul><li> Support share capital management activities including allotment, transfer, transmission, and related statutory filings</li></ul>
<ul><li> Assist in implementation and monitoring of corporate policies, governance frameworks, and compliance risk management processes</li></ul>
<ul><li> Track regulatory changes and ensure timely implementation of amendments applicable to the company</li></ul>
<ul><li> Provide secretarial support for strategic initiatives such as investments, funding, restructuring, and corporate actions</li></ul>
<ul><li> Ensure accuracy, completeness, and timely maintenance of all statutory and corporate records</li></ul>
<h1 class="jobSectionHeader"><b>Eligibility &amp; Experience</b></h1>
<ul><li> Qualified Company Secretary (ACS mandatory)</li></ul>
<ul><li> Minimum 3 years of post-qualification experience</li></ul>
<ul><li> Strong hands-on experience in ROC and MCA compliances</li></ul>
<ul><li> Experience in startups/NBFCs, or fast-growing organizations preferred</li></ul>
<ul><li> Sound knowledge of Companies Act, 2013 and corporate governance practices</li></ul>
<ul><li> Ability to work independently with minimal supervision</li></ul>
