Company Secretary & Compliance Officer

Job Title: Company Secretary (CS)

Location: Corporate Office, Nashik
Department: Legal & Secretarial Department
Reports To: CMD/ Managing Director / Board of Directors

Job Summary:

The Company Secretary will oversee the company's legal and compliance functions, focusing on drafting and finalizing agreements.

The candidate should possess 1-3 years (PQE) specifically in the corporate laws. A proven track record in managing complex secretarial tasks, agreement drafting, corporate governance is essential.

Key Responsibilities

  • Ensure compliance with corporate governance standards and regulatory requirements.
  • Organize and manage Board meetings, including preparing agendas, minutes, and resolutions.
  • Provide guidance to the Board and senior management on governance issues and best practices.
  • Prepare and file annual returns, financial statements, and other necessary regulatory filings with MCA, ROC, SEBI, RBI, etc. as and when required.
  • Registrations and obtaining licences and renewal whenever required under DGFT, MSME & LEI etc.
  • Monitor and ensure adherence to applicable laws, regulations, and industry standards.
  • Manage shareholder communication, dividend distribution, and grievance redressal.
  • Conduct regular reviews and updates of company policies to maintain compliance.
  • Draft, review, and negotiate a variety of agreements, including NDAs, Leave and License Agreements and service agreements.
  • Ensure all agreements align with legal standards, regulatory requirements, and company objectives.
  • Oversee the agreement closing process, including documentation management and compliance checks.
  • Respond to legal notices and correspondence from authorities & Liaise with legal consultants, auditors, and regulatory authorities on corporate matters.
  • Maintain accurate statutory books, registers, and company records.
  • Prepare and file corporate documents with regulatory authorities as required.
  • Provide timely updates to the Board and stakeholders on corporate activities and compliance status.
  • Identify and evaluate legal risks related to business operations and provide strategic solutions.
  • Develop and implement risk management strategies and compliance programs.

Education:

  • Qualified Company Secretary (CS) from ICSI.
  • LLB or an additional degree in Law is an added advantage
  • Proficiency in MS Office and legal compliance software
  • Strong understanding of corporate governance, compliance, and legal frameworks.
  • Expertise in drafting and negotiating complex agreements.
  • Ethical, professional, and result-oriented approach.

Job Type: Full-time

Pay: ₹250,000.00 - ₹300,000.00 per year
