Job Description: Semi-Qualified Company Secretary

We are seeking a Semi-Qualified Company Secretary to support the legal, compliance, and corporate governance functions of our organization. The role involves assisting with statutory and regulatory compliance, maintaining corporate records, and supporting the company secretary in various legal and secretarial functions.

Key Responsibilities:

  • Compliance Assistance: Support in ensuring compliance with statutory and regulatory requirements such as Companies Act, FEMA, and RERA. Assist in annual filings and other regulatory submissions.
  • Corporate Governance Support: Help maintain corporate governance standards in line with applicable legal and regulatory frameworks.
  • Documentation & Drafting: Assist in the preparation of board and committee meeting minutes, resolutions, notices, and other legal documentation.
  • Due Diligence: Support due diligence activities in corporate transactions and maintain necessary documentation and records.
  • Insurance & Legal Compliance: Assist in monitoring compliance with insurance laws and other regulatory frameworks as applicable.
  • Legal & Corporate Advisory: Provide support in legal research and advisory related to corporate law, company policies, and governance matters.
  • Secretarial Support: Assist the Company Secretary in managing routine secretarial functions, including corporate filings, maintaining statutory registers, and ensuring proper record-keeping.

Skills & Qualifications:

  • Education: Semi-qualified CS (cleared CS Executive level) and currently pursuing the CS Professional program, registered with ICSI.
  • Experience: 1–2 years of relevant experience in corporate compliance, secretarial functions, or internships under a practicing CS or corporate environment.
  • Communication Skills: Strong written and verbal communication skills; ability to prepare clear, accurate documentation.
  • Organizational Skills: Excellent attention to detail, ability to prioritize tasks, and work under pressure to meet deadlines.
  • Knowledge Base: Basic understanding of the Companies Act, FEMA, RERA, and corporate governance principles.
