Key Responsibilities
- Corporate Governance & Compliance
- Ensure compliance with Companies Act, SEBI regulations, and other applicable laws.
- Maintain statutory registers, records, and filings with ROC, SEBI, and other authorities.
- Advise the Board and management on corporate governance best practices.
- Board & Shareholder Management
- Prepare agendas, notices, and minutes for Board meetings and General Meetings.
- Ensure timely filing of resolutions, annual returns, and reports.
- Maintain communication with shareholders and regulatory bodies.
- Legal & Regulatory Support
- Draft and review agreements, contracts, and legal documents.
- Monitor changes in laws and regulations affecting the company.
- Coordinate with legal counsel on corporate matters.
- Secretarial & Administrative Functions
- Manage company policies, memoranda, and articles of association.
- Assist in corporate restructuring, mergers, or acquisitions compliance.
- Ensure timely filing of statutory forms with government authorities.
- Reporting & Advisory
- Prepare compliance reports for the Board and senior management.
- Provide guidance on risk management and corporate ethics.
- Coordinate audits and statutory inspections, if required.
