Position Summary

We're seeking a skilled Contracts Counsel to lead and manage commercial contracting activities across the technology, energy, and real estate sectors. This role will support business operations by drafting, negotiating, and advising on a wide range of agreements, ensuring legal compliance and alignment with strategic objectives. The ideal candidate will be a collaborative legal partner with strong commercial acumen and experience in complex contract structures.


Job Responsibilities

  • Draft, review, and negotiate a variety of commercial contracts, including SaaS agreements, licensing, professional services, NDAs, and vendor agreements.
  • Provide legal support for energy-related contracts, including power purchase agreements, renewable energy deals, and utility service arrangements.
  • Advise internal stakeholders on contract terms, risk mitigation, and compliance with applicable laws and regulations.
  • Collaborate with Procurement, IT, and Operations teams to align contract terms with business goals.
  • Develop and maintain contract templates, playbooks, and negotiation guidelines.
  • Support contract lifecycle management and ensure proper documentation and recordkeeping.
  • Monitor regulatory developments impacting commercial contracts, especially in tech and energy sectors.
  • Assist with dispute resolution and contract enforcement matters.
  • Coordinate with external counsel as needed for specialized contract issues or jurisdictional matters.
  • Contribute to process improvements and automation initiatives in contract management.


Qualifications

  • J.D. from an accredited U.S. law school; licensed to practice in at least one U.S. jurisdiction.
  • 2+ years of legal experience, with a focus on commercial contracts in technology and real estate sectors.
  • Strong understanding of SaaS, cloud services, data privacy, and cybersecurity-related contract provisions.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple priorities and work cross-functionally in a fast-paced environment.
  • Familiarity with contract lifecycle management tools and legal operations best practices.
  • Background in a mid-to-large corporate legal department or law firm preferred.
