The Opportunity

The Seattle office of Seyfarth Shaw LLP seeks a Corporate Attorney with 5–10 years of experience to support its rapidly growing Corporate practice. The role will primarily focus on general corporate and transactional matters, with opportunities to work across M&A, financing, corporate governance, commercial contracts, and entity counseling. This position is being added in response to sustained demand and the need for dedicated support for Seattle‑led transactions. The new hire will be a key contributor to a busy, expanding group with significant opportunities for responsibility and career development.


The Day-To-Day

Transactional Work
  • Lead and support M&A transactions, joint ventures, commercial transactions, and financing matters.
  • Draft and negotiate a wide variety of corporate documents, including operating agreements, purchase agreements, shareholder agreements, and general commercial agreements.

Corporate Governance & General Counseling
  • Advise clients on corporate governance issues, entity maintenance, board matters, and compliance.
  • Handle formation, structuring, and restructuring of corporations, LLCs, partnerships, nonprofit corporations, and other entities.
  • Provide day‑to‑day corporate counseling for emerging companies, growth‑stage businesses, and established enterprises.

Client Management & Collaboration
  • Work directly with Seattle‑based partners and clients to deliver consistent, high‑quality service.
  • Coordinate with attorneys across Seyfarth’s national platform on multi‑office engagements.
  • Supervise and mentor junior associates, paralegals, and case assistants.

Practice Growth
  • Contribute to business development initiatives and support expansion of the M&A, financing, and corporate governance practice lines.
  • Help build long‑term client relationships by ensuring responsiveness, efficiency, and continuity.

You Have

Required Qualifications
  • 5–10 years of corporate and transactional experience at an AmLaw firm or sophisticated boutique.
  • Demonstrated experience managing significant portions of M&A transactions and/or financing matters.
  • Strong drafting, analytical, and project‑management skills.
  • Ability to work both independently and collaboratively in a high‑volume practice.
  • Excellent communication skills with the ability to interface directly with clients.
  • Washington State Bar admission (or ability to waive in).

Preferred Qualifications
  • Experience with real estate‑related corporate or financing transactions is helpful but not required.
  • Familiarity with tax‑exempt organizations or nonprofit governance is a plus.
  • Demonstrated capacity to manage multiple deadlines in a fast‑paced environment.

The salary range for this role is $310,000 to $380,000. This range is only applicable for jobs to be performed in Washington. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. An employee’s pay within the salary range will be based on numerous factors including, but not limited to, relevant education, qualifications, experience, skills, and business or organizational needs. This job is also eligible for an annual merit increase and bonus pay.
