Job Title: Corporate Counsel/ General Counsel

Reports To: General Manager, XQ USA

Location: Austin, TX

Position Overview

As the first in-house legal counsel for XQ USA, you will play a pivotal role in building and managing the company's legal function from the ground up. Serving as a trusted, strategic business partner to the General Manager and the leadership team, you will be responsible for a wide range of legal matters supporting our fast-paced growth and operations. You will draft and review commercial contracts, ensure compliance in areas of employment law, corporate governance, and daily operations, and effectively manage external legal resources to support business objectives.

Key Responsibilities

1. Commercial & Contracts Management:

o Draft, review, and negotiate a high volume of commercial agreements, including but not limited to: customer sales agreements, supplier and procurement contracts, non-disclosure agreements (NDAs), and equipment and real estate leases.

o Provide legal advice and risk assessment on contractual matters to the sales, procurement, and operations teams.

o Develop and refine the company's contract management processes and standard templates.

2. Corporate Governance & General Compliance:

o Manage corporate entity documentation and ensure the company maintains its "Good Standing" status in all relevant U.S. states.

o Oversee and manage the various licenses and permits required for business operations.

o Draft, implement, and update internal compliance policies, such as the Code of Business Conduct.

3. Employment Law Support:

o Partner closely with the Human Resources department to review key employment-related documents, including the employee handbook, offer letters, and separation agreements.

o Provide initial legal risk assessment and guidance on day-to-day employee relations matters, disciplinary actions, and terminations.

4. Risk Management & External Counsel Management:

o Proactively identify potential legal risks in business operations and provide preventive advice to management.

o Serve as the primary point of contact for identifying and escalating high-risk, complex legal matters (e.g., litigation, M&A, intellectual property).

o Manage the selection, engagement, and budget of all external law firms and legal consultants.

o Act as the primary liaison between the company and outside counsel, ensuring they are properly briefed on business context and deliver efficient, effective legal advice.

Qualifications

· Education: Juris Doctor (J.D.) degree from an ABA-accredited law school.

· Licensure: Admitted to the bar and in good standing in at least one U.S. state (Texas or Kentucky preferred).

· Experience:

o 5-8 years of legal experience, with a significant portion spent in an in-house corporate legal department.

o Experience supporting manufacturing, automotive, or technology companies is strongly preferred.

o Demonstrated, hands-on experience in drafting and negotiating complex commercial contracts.

· Skills & Abilities:

o Excellent business judgment with the ability to provide practical, solutions-oriented legal advice.

o Superior communication and interpersonal skills, with the ability to collaborate effectively with stakeholders at all levels, both internally and externally.

o Ability to work independently and manage priorities in a fast-paced, high-growth, start-up environment.

o Bilingual fluency in English and Mandarin is a significant advantage and highly preferred.

o 为销售、采购和运营团队提供合同解释和法律风险建议。

o 建立和优化公司的合同管理流程和标准模板。

2. 公司治理与日常合规:

o 管理公司的法律实体文件,确保公司在美国各州的法人身份保持“良好存续”(Good Standing)状态。

o 负责监控和办理公司运营所需的各类许可证和执照。

o 起草、实施并更新公司内部的合规政策,如《商业行为准则》。

3. 劳动法支持:

o 与人力资源部门紧密合作,审核员工手册、录用通知书、离职协议等关键人事文件。

o 就员工关系、纪律处分、解雇等日常问题提供初步的法律风险评估和建议。

4. 风险管理与外部顾问管理:

o 主动识别公司运营中的潜在法律风险,并向管理层提出预防性建议。

o 作为识别和上报高风险、复杂法律事务(如诉讼、并购、知识产权等)的主要联络人。

o 负责筛选、聘用和管理所有外部律师事务所及法律顾问,明确工作范围、审核服务账单并控制相关法律预算。

o 作为公司与外部律师之间的主要沟通桥梁,确保外部专家充分理解商业背景,并高效提供法律意见。

任职资格

· 教育背景: 拥有美国认证法学院颁发的法律博士 (J.D.) 学位。

· 执业资格: 持有美国至少一个州的有效律师执业资格,并保持良好记录(德克萨斯州或肯塔基州者优先)。

· 工作经验:

o 5-8年法律相关工作经验,其中必须包含在企业内部法务部门的工作经历。

o 拥有为制造业、汽车行业或科技公司提供法律支持的经验者将被优先考虑。

o 在起草和谈判复杂商业合同方面拥有丰富的实践经验。

· 技能与特质:

o 具备出色的商业思维,能够提供务实、以解决方案为导向的法律建议。

o 卓越的沟通和人际交往能力,能与公司内外各层级人员有效协作。

o 能够在快节奏、高要求的初创环境中独立工作,并有效管理多个任务的优先级。

o 中英文双语优先。

Job Type: Full-time

Pay: $100,000.00 - $150,000.00 per year
