This dual-role is central to our operations, combining strategic legal advisory with hands-on corporate governance. You will be the key advisor to the board and management on legal, compliance, and governance, ensuring the company operates effectively within all legal frameworks.Job Responsibilities:Manage the full legal lifecycle of group entities in multiple jurisdictions incorporations, annual compliance, internal approvals, and closuresPrepare, coordinate, and maintain corporate documents: shareholder and board resolutions, certificates, PoAs, UBO declarations, share transfers, and director appointmentsSupport legal input into new entity setups and corporate reorganization projectsMonitor and maintain internal governance registers, KYC files, group charts, and signature authorities across all active legal entitiesPrepare and review board and committee meeting materialsCoordinate internal approvals and contribute to the design of efficient governance processes and decision-tracking toolsRespond to internal requests on company structures, signatories, control rights, and document validityAssist with a broad range of corporate transactional matters, including M&A, investments, and joint venturesRequirementsLegally qualified (civil or common law jurisdiction) with at least 3 years of experience in corporate law, M&A, or legal entity management within a multinational in-house teamStrong command of corporate governance, company law, and corporate reorganizationsExperience managing legal entities through third-party service providers and acting as the internal coordinator of sensitive corporate actionsOutstanding interpersonal and communication skills, with strong attention to detailExcellent ability to communicate information effectively internally and externally and to drive cross-functional alignment and actionAn owner s mentality with the ability to execute in a dynamic and fast-paced environment, juggle conflicting priorities to meet deadlines and adapt quickly to new surroundingsStrong collaborator and teammate with demonstrated ability to work cross-functionally with other teamsWhy Binance Shape the future with the world s leading blockchain ecosystem Collaborate with world-class talent in a user-centric global organization with a flat structure Tackle unique, fast-paced projects with autonomy in an innovative environment Thrive in a results-driven workplace with opportunities for career growth and continuous learning Competitive salary and company benefits Work-from-home arrangement (the arrangement may vary depending on the work nature of the business team)Binance is committed to being an equal opportunity employer.
