Overview Of The Role:


The Corporate Governance Counsel will play a key role within the Legal Department, supporting Al-Futtaim Corporate Services and its group entities on corporate governance, mergers & acquisitions, legal restructuring, and shareholder transactions. Reporting to the General Senior Counsel, this role provides strategic legal advisory while ensuring strong governance, regulatory compliance, and effective risk management across complex corporate activities.

What You Will Do:


M&A & Corporate Transactions

  • Lead and manage legal due diligence for mergers, acquisitions, divestitures, and restructurings
  • Draft, review, and negotiate transaction agreements and ancillary documentation
  • Coordinate with finance, tax, and external advisors to structure and execute transactions


Corporate Governance & Board Affairs

  • Prepare and manage Board of Directors and General Assembly meetings and resolutions
  • Advise senior leadership on fiduciary duties, minority shareholder rights, and governance best practices
  • Review and update corporate charters, bylaws, and governance frameworks


Legal Advisory & Regulatory Liaison

  • Provide legal consultancy across Al-Futtaim group entities on corporate and governance matters
  • Liaise with government authorities and regulatory bodies
  • Support share purchase/sale processes and corporate restructurings


Corporate Records & Entity Management

  • Maintain corporate records, statutory registers, and powers of attorney
  • Manage entity documentation and corporate governance databases


Leadership & Collaboration

  • Support post-acquisition integration activities
  • Mentor junior team members and contribute to legal capability building


What Qualifies You For The Role:

  • Bachelor’s degree in Law (postgraduate qualification is a plus)
  • 8–10+ years of experience in corporate law, M&A, or corporate governance
  • Strong experience in complex transactions and board-level advisory
  • Excellent drafting, negotiation, and stakeholder management skills
  • Experience in a large corporate group or multinational environment preferred
