Corporate Lawyer

Dubai, United Arab Emirates

We are seeking a qualified and experienced Corporate & Commercial Lawyer to provide legal support for our UAE mainland and Dubai Creative Cluster (DCC/free zone) entities. The role covers a broad range of corporate, commercial, and regulatory matters, including banking and financial transactions, supplier and contractor agreements, logistics, retail and e-commerce operations, and regulatory compliance. The ideal candidate will also have working familiarity with international sanctions regimes relevant to cross-border trade and financial operations.


Key Responsibilities

Corporate & Regulatory Affairs

  • Draft, review, and advise on incorporation, licensing, and registration of legal entities in UAE mainland and free zones (including DCC).
  • Liaise with relevant government bodies (e.g., MOHRE, GDRFA, DED, free zone authorities) regarding labour, immigration, and compliance matters.
  • Ensure timely renewals and updates of trade licenses, establishment cards, and related corporate documents.


Commercial Contracts & Transactions

  • Draft, review, and negotiate agreements with: Banks and financial institutions,

Logistics and freight forwarding providers, Office contractors, service providers, and suppliers, Merchandise suppliers (for resale) and sample suppliers (for evaluation and use), Retail landlords and mall operators (lease agreements, fit-out agreements), E-commerce platforms, IT solutions providers, and online marketplaces.


Employment & Immigration

  • Review employment agreements and other labour related documents in compliance with UAE Labour Law.
  • Provide legal support for work permit, residency visa, and employee relations matters as needed.


Compliance & Risk Management

  • Advise on compliance with UAE regulations, including commercial, labour, consumer protection, and data protection laws.
  • Conduct due diligence and compliance checks on third parties, with particular attention to sanctions regimes affecting trade and finance.
  • Assist management with risk assessments and provide legal input into company policies and processes.


Dispute Resolution Support

  • Manage pre-litigation dispute correspondence with contractors, suppliers, and service providers.
  • Coordinate with external counsel on litigation or arbitration matters if necessary.


Qualifications & Experience

  • Bachelor’s degree in Law; UAE or other recognized jurisdiction qualification preferred.
  • Awareness of legislation of GCC countries is preferred.
  • 5–8 years of post-qualification experience.
  • Strong knowledge of UAE commercial, corporate, and labour laws.
  • Experience drafting and negotiating a wide range of commercial agreements.
  • Familiarity with international sanctions regulations (US, EU, UK) and their potential impact on UAE transactions is desirable.
  • Fluency in English (required); Arabic or Russian language skills are a plus.
