Key Responsibilities:

Corporate Legal Advisory:

  • Provide legal advice and guidance on various matters including Companies Act, SEBI regulations, FEMA, RBI guidelines, and other applicable corporate laws.
  • Draft and vet MoUs, JV agreements, shareholder agreements, NDAs, and other transactional documents.
  • Advise senior management on legal risks and regulatory issues affecting the business.

Contract Management:

  • Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, service agreements, lease deeds, licensing agreements, etc.
  • Maintain a centralized contract management system ensuring timely renewals and compliance tracking.

Compliance & Governance:

  • Ensure compliance with statutory requirements under corporate laws, SEBI, and other applicable regulatory authorities.
  • Assist in maintaining secretarial compliance and coordinate with the company secretary on Board meetings, filings, and resolutions.
  • Monitor corporate governance practices and recommend changes where needed.

Litigation & Dispute Resolution:

  • Handle corporate and commercial litigation in coordination with external counsels.
  • Represent the company in legal proceedings (civil, regulatory, arbitration, etc.).
  • Manage documentation, strategy, and timelines for ongoing litigation.

Stakeholder Management:

  • Coordinate with internal departments (Finance, HR, Operations) and external legal firms to ensure business needs are legally protected.
  • Serve as a business partner by enabling risk-mitigated decision-making.

Key Requirements:

Qualifications:

  • LL.B. (mandatory); LL.M. or CS (preferred but not essential)

Experience:

  • 8–12 years of post-qualification experience in corporate legal work, preferably in a reputed law firm or a corporate legal department.

Skills & Competencies:

  • In-depth knowledge of Indian corporate laws and regulatory frameworks.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple stakeholders and prioritize tasks effectively.
  • High integrity and sound judgment.

Job Type: Full-time

Pay: ₹2,000,000.00 - ₹2,500,000.00 per year
