I'm seeking an experienced
Corporate Legal Counsel
to provide strategic legal guidance across a broad range of corporate matters. Reporting directly to the
Chief Financial Officer
, this role will partner with senior leadership to support corporate governance, manage legal risks, and enable business growth.
The successful candidate will play a key role in advising on mergers & acquisitions, financing transactions, and other strategic initiatives; drafting and negotiating contracts; and guiding the organization on regulatory compliance and risk management. This position is part of the senior management team and will influence business decisions at the highest level.
Key Responsibilities
Corporate Governance & Compliance

Oversee governance requirements and support board and committee processes.

Draft and maintain resolutions, consents, governing documents, certificates, and meeting minutes.

Advise executives and business leaders on legal and regulatory requirements affecting operations in the U.S. and Mexico.
Transactional & Strategic Support

Provide legal counsel on M&A activity, joint ventures, financing, and strategic partnerships.

Review, draft, and negotiate a variety of contracts, including vendor, customer, and subcontractor agreements.

Support product launches, market entry strategies, and other growth initiatives with legal risk assessments.
Risk Management & Litigation Oversight

Identify and evaluate legal risks, balancing commercial objectives with regulatory obligations.

Manage litigation, investigations, and dispute resolution, engaging and directing outside counsel when needed.

Develop policies, processes, and training programs to reduce risk and avoid potential disputes.
Cross-Functional Collaboration

Work closely with finance, operations, sales, HR, and other internal stakeholders to align legal strategies with business goals.

Provide training and guidance on compliance, contract management, and industry-specific legal issues.

Communicate complex legal matters clearly to non-legal audiences.
Qualifications
Education & Experience
-
Juris Doctor (JD) from an ABA-accredited law school; active membership in good standing with the Texas State Bar.

Minimum 4 years’ experience in corporate law, with strong exposure to securities, M&A, and governance.

Proven ability to advise senior executives and collaborate across departments.

Bilingual in English and Spanish strongly preferred.
