  • Draft and review complex purchase agreements, operating agreements, loan documents, and commercial contracts.
  • Coordinate and direct outside counsel to ensure aligned legal strategies and cost-effective representation.
  • Advise ownership and executive leadership on risk management, dispute resolution, and litigation avoidance strategies.
  • Conduct due diligence on real estate and business transactions, ensuring compliance and strategic alignment with portfolio objectives.
  • Prepare detailed case assessments, transaction summaries, and recommendations for executive review.
  • Maintain utmost confidentiality and exercise sound judgment in all matters.
  • Demonstrate flexibility and adaptability in responding to urgent legal or business priorities as they arise.

Qualifications

  • Juris Doctor (JD) from an accredited law school; active and in good standing with a state bar (Florida Bar preferred, or ability to waive in).
  • 10+ years of experience in litigation and transactional law, with a strong focus on real estate, bankruptcy, and commercial matters.
  • Proven background managing complex real estate transactions, including acquisitions, financings, and development deals.
  • Prior experience representing or advising closely held businesses, family offices, or private investment entities strongly preferred.
  • Exceptional analytical, drafting, and negotiation skills.
  • Ability to manage multiple matters simultaneously with precision and urgency.
  • Availability to work a minimum of 60 hours per week, with flexibility to respond to time-sensitive issues and shifting priorities.
  • Strong business judgment, discretion, and a solutions-oriented mindset.

Preferred Attributes

  • Experience overseeing both litigation and transactional work within real estate, construction, or hospitality sectors.
  • Comfortable operating within a family office or private portfolio environment that requires agility and confidentiality.
  • Proactive, resourceful, and able to anticipate challenges before they arise.
  • Collaborative yet highly independent, with an ability to execute quickly and decisively.
