Hirschler is now hiring a paralegal to provide legal and administrative support to attorney's in the firm's Corporate and Business Services, Investment Management and Mergers and Acquisitions practices. This role assists with a broad range of transactional, governance, and compliance matters, contributing to efficient deal execution and exceptional client service. This position is in person in our Richmond office.
- Assist with preparation and filing of formation, dissolution and state qualification documents required for various business entities
- Create and maintain corporate minute books, maintain electronic records and monitor filing deadlines.
- Assist with drafting entity organizational documents, such as shareholder and director resolutions, bylaws and operating agreements.
- Assist in the preparation and filing of UCC filings and handling UCC filing search requests.
- Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for various business entities (i.e., corporations, limited liability companies, partnerships, etc.).
- Work directly with attorneys on private securities offerings and related SEC filings. Assist with preparation of Form D, Blue Sky and other federal and state compliance filings, correspond with state regulators regarding filings, and track and monitor filing renewal dates.
- Assist attorneys with mergers, acquisitions, financings, and other corporate transactions.
- Serve as a point of contact with clients, vendors, and governmental agencies regarding filings and corporate records.
- Assist with document management as needed.
- Conduct basic legal and factual research under attorney supervision and direction.
- Review and proofread documents for accuracy, consistency and formatting.
Qualifications:
- At least 3 years of progressively responsible work experience as a paralegal, ideally with corporate organizational, securities and transactional experience, working with corporate documents and corporate filings.
- Knowledge of corporate governance, entity management and transactional processes.
- Related experience, college degree or paralegal certificate preferred.
- Demonstrated proficiency with Microsoft Office, iManage or other document management systems and online databases required.
- Ability to work on site in Richmond, VA.
- Excellent organization, problem-solving and decision-making skills with a solutions-oriented approach. Must demonstrate flexibility regarding assignments, a sense of urgency and ability to pivot as needed to meet demands.

- Professional demeanor, confidentiality and sound judgment required.
- Exceptional communication and service-driven skills with the ability to support attorneys at all levels and across multiple practice areas within the Business Section.
