Corporate Securities Attorney

The Position
A Fortune 100, publicly traded technology and cloud services company is seeking a senior corporate and securities attorney until a full-time hire is made.

This attorney will work closely with the General Counsel and play a hands-on role across SEC reporting, public company compliance, and corporate governance. Responsibilities include:

• Preparing and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
• Advising on disclosure, Regulation FD, and insider trading matters
• Supporting capital markets activity and secondary offerings
• Partnering with internal stakeholders on investor relations materials and board governance.

The team runs lean, and this role is ideal for someone who enjoys producing work directly rather than simply coordinating with outside counsel. The ideal candidate brings deep U.S. securities law experience, strong business judgment, and the ability to collaborate effectively with non-legal partners in a fast-moving environment. Prior public company experience is essential, and candidates who have seen companies through IPO or post-IPO transitions will be especially well-suited.

This project starts ASAP, 30-40 hrs/week for an estimated 2 month duration with potential to extend. This role is onsite 5 days/week in Irvine, CA.

The hourly rate for this assignment is expected to be between $107 and $118. This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.
