The Deputy General Counsel – Commercial, Sourcing, Privacy & Corporate Governance is a senior legal leader responsible for setting strategy and leading a team that delivers end-to-end legal support for the company’s commercial, marketing, product, enterprise privacy, corporate governance, global sourcing, and supplier relationship activities. This role serves as a trusted advisor to executive leadership and partners across the enterprise to enable growth, manage risk, strengthen governance controls, and build scalable, high-performing legal operations.
This role reports to the General Counsel and is accountable for leadership of major workstreams, cross-functional risk governance, and development of talent and standards across the supported legal domains.

How You'll Create Possibilities
Enterprise Leadership & Legal Strategy

Establish the legal strategy, priorities, and service model for commercial, sourcing, privacy, and governance support, aligning resources to enterprise objectives, business enablement, and risk appetite.

Serve as a key advisor to executive leadership on complex, high-impact matters, including strategic partnerships, new product/market launches, and significant supplier initiatives.

Lead cross-functional risk governance for enterprise, including escalation protocols, decision rights, and oversight mechanisms.

Drive consistent standards for legal quality, responsiveness, and business enablement through playbooks, templates, training, and metrics.
Commercial, Marketing & Product Counsel (Senior Ownership)
-
Provide senior-level counseling for commercial and marketing initiatives, including go-to-market strategy, channel programs, and customer-facing terms.

Oversee complex commercial negotiations, lead resolution of high-stakes disputes and claims pre-litigation in partnership with litigation counsel as needed.

Provide oversight for advertising/marketing law and consumer protection risk, including review of key campaigns and substantiation of significant claims.
Global Sourcing, Supplier Relationships & Supply Chain Risk

Oversee legal strategy for global sourcing of commodities, parts, and sourced finished goods, including negotiation posture, risk allocation, and governance for supplier relationships.

Serve as senior legal advisor for key supplier negotiations, joint ventures, and intra-company sourcing arrangements.

Partner with business functions to identify and mitigate supply chain legal risks and implement scalable contracting solutions.

Develop and oversee sourcing contracting governance, including approvals, delegation controls, and contractual risk reviews for material transactions.
Privacy, Data Governance & Technology Risk (Senior Ownership)

Oversee the enterprise privacy legal agenda for products, marketing programs, websites, customer data, and employee data—embedding privacy-by-design, data minimization, and accountable data use into business processes.

Oversee data governance and privacy compliance frameworks, including policies, notices, consent mechanisms, records of processing, training, and monitoring aligned with applicable laws and company expectations.
Corporate Governance Support

Support corporate governance activities, including governance frameworks, delegations of authority, policy governance, and management-level governance committees as assigned.

Partner with Compliance and enterprise stakeholders to strengthen governance controls and ensure effective implementation of policies and risk management practices.

Provide governance support for growth initiatives (e.g., acquisitions, investments, strategic alliances), ensuring appropriate diligence, approvals, and risk governance checkpoints.
People Leadership, Budget & Outside Counsel Management

Lead and develop a team of attorneys and/or legal professionals; set priorities, coach performance, and build succession plans for critical capabilities.

Own resourcing strategy for supported domains, including workload balancing, role design, and, where applicable, budget planning and outside counsel spend management.
What You'll Bring to Our Team
-
Juris Doctor (JD) from an accredited law school; active bar membership in good standing in any U.S. state.
-
12+ years of relevant legal experience (law firm and/or corporate legal department), with deep experience in commercial contracting and sourcing/procurement support.

Demonstrated leadership in privacy and data governance, including advising on privacy compliance programs and negotiating complex data-related contract terms.

Strong corporate governance acumen and experience operationalizing governance controls, delegations, and risk management processes.
-
Proven people leadership skills in a matrixed environment, including developing talent, leading through influence, and delivering outcomes across diverse stakeholders.

Excellent written and verbal communication skills; strong judgment, executive presence, and the ability to translate legal requirements into practical, business-focused guidance.

Commitment to high-integrity conduct and alignment with company values, including expectations that may exceed baseline legal compliance.
Preferred Qualifications

Experience supporting mergers and acquisitions, strategic partnerships, or other growth initiatives.

International commercial and/or procurement experience, including cross-border contracting and global trade considerations.

Experience leading or advising on cybersecurity incident response and crisis management.

Experience in a consumer products, connected products, or major manufacturing environment.
