The Deputy General Counsel, Vice President will serve as a key legal and governance advisor and trusted strategic partner to senior business leaders as part of an efficient, dynamic and high performing legal team.
Based in Overland Park, Kansas, this role will report directly to the General Counsel and provide legal support across a broad variety of legal, regulatory and operational matters including commercial, corporate, and real estate transactions, M&A, data privacy, and governance among others. The Deputy GC will interact directly with QTS Data Centers’ business teams, executive team, other senior management and business partners. The ideal candidate will be a bright, agile attorney with an entrepreneurial appetite to join an innovative and fast-paced company.
Key Responsibilities, other duties as assigned:
Support Company’s growth goals by providing strategic legal counsel:

Advise senior management on complex legal issues across diverse business areas, including M&A, joint ventures, financing, real estate, technology and data privacy.

Partner with business leaders to develop and execute legal strategies aligned with company goals.

Identify and proactively address potential legal risks, proposing mitigation strategies in line with business objectives and the company’s risk appetite.

Proactively problem solve with peers and bring cutting-edge ideas to the table where legal can help further their business strategies.

Assist in the oversight, advice and support for growing international function in the UK and Europe.
Corporate Governance:

Assist with the board of directors’ meetings, preparing legal documents and providing guidance on corporate governance matters.

Ensure compliance and infrastructure to support sustainable growth of the business.

Be able to engage with executive team and speak one’s mind not only as a lawyer, but as a seasoned business leader on broader issues.
Oversee and manage the use of outside counsel:

Embed continuous improvement practices to improve the quality and efficiency of outside counsel work while reducing annual legal spend.

Evaluate outside counsel efficiencies, rates, and billing models to streamline outside counsel engagements according to data metrics

Compliance oversight and general legal counsel:

Provide general legal counsel as necessary to business counterparts in the course of everyday responsibilities.

Ensure the company is in compliance with relevant regulations related to various legal matters, including but not limited to litigation, environmental, employment and tax.
BASIC QUALIFICATIONS
-
J.D. from an accredited U.S. law school with strong academic credentials.
-
Ten or more relevant legal experience, including foundational training in a top-tier law firm and in-house experience in roles of increasing scope and responsibility.

Experience advising on general corporate transactions, governance, data privacy and regulatory issues in high-growth company, preferably in the technology industry.

Deep experience leading and advising on complex sophisticated transactions, including M&A and real estate transactions, to drive company growth and performance

Demonstrated experience providing strategic and commercial advice to executive teams and senior business leaders.

Experience acting as a change agent, driving continuous improvement and excellence.

Experience working with Private Equity, or for PE-backed companies, or other high-growth organizations with a fast-paced and dynamic culture focused on growth and performance.

Proven track record of leading cross-functional teams and supporting a high-performing collaborative culture.

US Citizenship for this position is required by law due to federal customer contracts.

Must be admitted to practice law and in good standing in at least one US jurisdiction.
