Director, Contracts
Position Summary
The Director of Contracts is a leadership role responsible for overseeing and providing strategic direction for the contract lifecycle, including negotiation, drafting, review, execution, and closeout, while ensuring compliance with legal and business requirements. This role reports to the General Counsel or other designated senior legal/contracts executive and provides leadership to the Contracts team, fostering a culture of excellence, collaboration, and continuous improvement. The Director of Contracts will be entrusted with day-to-day oversight and direct handling of contract-related processes across the organization, including subsidiaries. This includes managing and reporting on a wide range of agreements such as NDAs, contracts with drug manufacturers, healthcare providers, GPOs, and other commercial entities. The role requires a high degree of expertise in reviewing, editing, drafting, and negotiating contracts, as well as independently identifying contractual risks and proposing effective revisions and strategies to ensure alignment with business objectives and legal standards. To succeed in this role, the Director of Contracts must possess exceptional attention to detail, be highly organized, and have excellent communication skills to collaborate effectively across departments. This role requires at least 8 years of experience in the pharmaceutical distribution and/or manufacturing space, with demonstrated expertise in managing complex contractual frameworks in highly regulated environments. The Director of Contracts will play a key role in ensuring the organization’s contractual obligations are met and processes are consistently optimized to support business goals.

Essential Functions and Duties
- Lead contracts operations though the entire contract lifecycle. This includes competently executing the preparation, analysis, revision, negotiation, and maintenance of all contract documents from initial pursuit through contract closeout.
- Draft, prepare, evaluate, review, and negotiate a variety of transactional documents, including but not limited to: Distribution Agreements, Non-Disclosure Agreements, GPO Agreements, Purchase Orders, Vendor Agreements, Sales and Purchasing Agreements, Subcontracts, Independent Consulting Agreements, Licensing Agreements, Statements of Work, Service Agreements, IT Agreements, and other contracts necessary to support business operations.
- Foster strong relationships with internal stakeholders to ensure effective coordination and collaboration are built into standard processes.
- Lead the development and execution of strategic initiatives—leveraging AI and other advanced technologies—to enhance the efficiency, scalability, and consistency of deliverables produced by the Contracts team.
- Manage the Contracts team, ensuring resources are allocated effectively to deliver timely and accurate contract drafting, review, and execution.
- Drive continuous improvements in policies and processes, including document templates; evaluate workflows; creation of playbooks; and establish priorities.
- Demonstrate strong teamwork and relationship-building skills by serving as a key liaison between the legal department and internal teams, as well as external partners and stakeholders, to deliver legal support for critical business initiatives.
- Ability to handle multiple assignments and deadlines with accuracy and excellent attention to detail.

- Comply with the policies and procedures stated in the Injury and Illness Prevention Program by always working in a safe manner and immediately reporting any injury, safety hazard, or program violation.
- Ensure conduct is consistent with all Compliance Program Policies and procedures when engaging in any activity on behalf of the company. Immediately report any concerns or violations.

Education, Knowledge, Skills, and Experience
Required Education:- Bachelor’s degree in Business Administration, Master’s Degree with significant experience in contract management, negotiation, and administration, particularly in the pharmaceutical, life sciences, or related industries, or Juris Doctorate preferred.
Required Knowledge:- Deep understanding of contract lifecycle management, including negotiation, drafting, review, and closeout, with a focus on pharmaceutical or life sciences contracts.
- Expertise in handling complex agreements such as distribution contracts, licensing agreements, GPO agreements, and vendor agreements.
- Demonstrated success in driving process improvements in contract management.
Required Experience:- Must have a minimum of eight (8) years of relevant legal experience, ideally with a combination of law firm and in-house roles, particularly in Pharmaceutical, life sciences industry.
- Must have five (5) years in a previous leadership and managerial role.
- The candidate must have a strong background in negotiating and drafting complex agreements.
- Experience with AI adoption in contract processes.
- Exceptional attention to detail and advanced critical thinking and communication skills with ability to influence and shape favorable business outcomes.
- Experience working closely with senior management and cross-functional teams to achieve business objectives.
- Significant expertise in Microsoft Office suite including Microsoft Word and Excel is required.

- Strong business acumen, problem-solving skills and legal judgment.
- Expert-level proficiency in Microsoft Word (Track Changes, Compare, cross-references/TOCs, styles) and Adobe Acrobat Pro (PDF compare, merge/assemble, OCR, redaction, form fields).
Physical requirements
Vision, hearing, speech, movements requiring the use of wrists, hands and/or fingers. Must have the ability to view a computer screen for prolonged periods and the ability to sit for extended periods. Must have the ability to work the hours and days required to complete the essential functions of the position, as scheduled. The employee occasionally lifts to 20 lbs. and occasionally kneels and bends. Must have the ability to travel occasionally. Working condition include normal office setting.
